This role is a great opportunity for someone who can multitask and is proficient at managing high volume contract reviews, but also desires to gain experience in the breadth of matters handled by in-house legal. The ideal candidate is willing to immerse in Armanino’s broad range of services and products – from tax & audit to consulting and software development – and believes that an effective legal partner must have a deep understanding of the business. We are eager to find someone who is excited to grow their career with a dynamic and flourishing company and who can immediately contribute to our Legal team in a variety of ways.Responsibilities:• Serve as a trusted advisor and business partner to Armanino’s many functional business groups to drive commercial transactions, from beginning to end• Assist the firm’s General Counsel and Assistant General Counsels with special projects, including business licensure, subpoena compliance and strategic transactions• Draft, evaluate, redline and negotiate complex commercial and other transactional agreements, including NDAs, service agreements, subcontracts, RFPs, license agreements, vendor agreements and strategic partner (reseller/referral/co-marketing) agreements• Prepare and maintain/update form agreements as necessary• Provide strategic and legal advice to your internal business clients• Support third party subpoena compliance, including gathering and evaluating responsive data, preparing for production, and coordinating with parties’ counsel re same• Assist on ad hoc legal projects as requested, including, but not limited to, new policies and processes, contract templates, business licensure, M&A support, A/R collections, legal research, and other corporate legal and regulatory matters• Ensure necessary business approvals are obtained for legal decisions• Train business clients on legal issues, either in a support or lead capacity• Develop systems for tracking contract review requests, agreed-upon contractual terms, and other key department metrics• Can-do attitude and willingness to roll up your sleeves, get into the details of the business and legal work of the company and take on projects involving unfamiliar subject matter• Effective communicator with a strong yet constructive negotiation presence• Highly responsive with a service-oriented attitude• Able to operate autonomously, but also to work collaboratively as a team player with legal colleagues and internal business players• Comfortable working with business partners at all levels of the organization• Able to prioritize and manage multiple projects at once with a sense of urgency, follow through, and meet deadlines under tight schedules• Able to quickly learn and adapt to using new software and technology toolsRequirements:• J.D. from accredited law school• Active member in good standing with at least one U.S. State Bar• Minimum of 3 years’ experience of combined in-house and/or law firm experience• Mastery of commercial legal concepts such as IP ownership, data privacy, limitations of liability, indemnity and warranty• Experience with any of the following is preferred: privacy laws (GDPR/CCPA); technology and SaaS agreements; M&A / diligence / corporate law; labor & employment• Experience facilitating long-term relationships with key business partners, as well as working collaboratively with other in-house departments, including sales, finance and HR• Experience balancing risk with company objectives and creating solutions to sensibly drive the business forward• Travel for Armanino business and clients, as neededArmanino provides equal employment opportunities (EEO) to all employees and applicants for employment without regard to race, color, religion, sex, national origin, age, disability or genetics. The compensation range for this position is as follows: $119,900 - $162,200 (Colorado), $131,900 - $170,000(Washington, New York, and Southern California), $137,850 - $170,000 (Northern California).
