Position Summary

We are seeking a highly skilled commercial lawyer to join our Legal team and make a meaningful impact on our dynamic, high-growth technology company. In this role, you will be responsible for advising the company on a variety of legal matters related to commercial transactions in addition to providing advice to Sales and Marketing teams doing business globally. In this prospect and customer-facing role, you will work closely with our General Counsel and Deals Enablement Team in helping Agiloft do business faster and more efficiently. This role is for you if you:

  • Enjoy dealing with new issues that come up and are able to pivot between priorities as they evolve.

Job Responsibilities

  • Serve as the primary legal advisor on a variety of commercial transactions, including strategic partner relationships, customer contracts, and vendor agreements;
  • Drafting, negotiating, and/or reviewing commercial agreements such as SaaS subscription agreements, professional services SOWs, partner/reseller/referral agreements, data privacy/data security agreements, vendor agreements, development agreements, and NDAs;
  • Develop and improve enablement tools (playbooks, trainings, etc.), templates, and negotiation processes to establish best practices; · Work closely with internal clients to understand the business, and support them in solving their biggest challenges and achieving their business objectives;
  • Partner with sales, marketing, and other internal stakeholders to provide legal advice on issues pertaining to Agiloft’s products and services, contract disputes, and related matters;
  • Assist the General Counsel with other legal-related projects that arise.

Job Qualificatipns

  • JD required & license to practice law in the US
  • At least 4 years of relevant legal experience negotiating and maintaining SaaS agreements including ancillary agreements (DPAs, Professional Services Agreements, Service Level Agreements, etc.), and experience with commercial and marketing law
  • In-house legal experience with a SaaS or other technology company is strongly preferred
  • Expertise in handling topics such as revenue recognition, data privacy, and security in the customer contract context
  • Deep understanding of contract drafting principles and related risk assessment in deal negotiation
  • Familiarity with global and domestic privacy laws and regulations, including GDPR, CPRA, and CCPA
  • Team player with the ability to work with all levels of the organization
  • High level of professionalism, great communication skills, and the ability to foster go
The US base salary range for this position is $140,000 -$180,000 (excluding bonus, equity, and benefits). Our salary ranges are determined by role, level, and location. The range displayed on each job posting reflects the minimum and maximum target for new hire salaries for the position across all US locations. Within the range, individual pay is determined by work location and additional factors, including job-related skills, experience, and relevant education or training. Please note that the compensation details listed in US role postings reflect the base salary only, and do not include bonus, equity, or benefits.
