Learn more at: C3 AIC3 AI is seeking a highly qualified corporate and securities counsel to join the C3 AI Legal team. The candidate will perform a broad range of legal work, with a focus on supporting all corporate, securities and compliance matters. Candidate will oversee and manage SEC and governance matters, manage corporate structure, support finance, accounting, marketing and investor relations functions, advise members of management on various issues within assigned areas, and support the General Counsel.Candidates must have the proven ability to work effectively in a dynamic, fast‐paced environment.Responsibilities:• Build corporate, securities and compliance function• Support all securities and compliance matters• Lead drafting and filing of all securities and regulatory documentation• Oversee and advise on SEC and governance matters• Support finance, accounting, marketing and investor relations departments• Establish efficient processes for meeting all regulatory and compliance requirements• Oversee and manage international subsidiary structure• Assist where needed on other legal matters, both domestic and internationalQualifications:• JD from top law school; Active membership in at least one U.S. State bar.• 7+ years related experience, including at least 3+ years at a premier law firm and at least 3+ years of in-house public-company experience.• Significant experience in the drafting and coordination of securities filings, including form 10-K, 10-Q, 8-K, proxy statements, and similar documents.• Excellent verbal and written communication, analytical, and interpersonal skills.• Must be a motivated self-starter able to multi-task in a dynamic environment.• Ability to work both independently and collaboratively across diverse teams.Preferred Qualifications:• C3 AI is a culture of “doers.” Employees at all levels are willing to roll up their sleeves to get things done.
