Corporate Governance Paralegal

Role: Paralegal

Location: Dallas, Texas (Hybrid- In-office and WFH)

Reports To: Insurance Compliance Counsel

About You:

You are an experienced paralegal who is highly organized with a superior attention to detail. You have experience managing a corporate secretarial function for multiple entities, including publicly traded companies.

What You'll Do:

  • Coordinate Corporate Secretarial function including maintaining calendar of Meetings (Board and Shareholder), creating agendas and Board summaries, drafting meeting minutes, and maintaining all corporate records relating to Board of Directors and Shareholders for multiple entities, including a publicly traded entity
  • Preparation and filing of SEC Form 4s
  • Assistance with preparation of proxy statement, annual meeting logistics, and associated SEC 8-K disclosure
  • Assistance with trading preclearance process
  • Preparation, administration, and review of D&O questionnaires
  • Management of general administrative correspondence with Board members
  • Maintain Officer and Director listings for multiple entities
  • Manage the formation of new entities including drafting Articles of Incorporations and Bylaws, and amendments thereto

Must Haves:

  • 5+ years' experience as a paralegal
  • Experience with publicly traded companies is required, insurance industry experience a plus
  • Experience with Diligent software highly desired
  • Demonstrated professionalism, detail-oriented, strong communication and organization skills
  • Ability to work independently and as part of a team
  • Ability to work under pressure in a fast-paced environment while maintaining multiple projects and responsibilities
  • Bachelor's degree or paralegal certificate preferred
  • Proficient with Microsoft Office products including Word and Excel
