IMC seeks a Corporate Legal Counsel (4-7 years’ experience) to provide legal support across various departments, including Finance, Business Development, and Tax. This position will offer general legal advice on a variety of matters, with its primary focus on U.S. corporate governance and entity maintenance, federal and state tax analysis in connection with corporate entity structuring, and negotiating, structuring, drafting, and/or reviewing various inter-affiliate services agreements and other strategic corporate transactions.

Responsibilities include:

• Manage the U.S. legal entity governance and maintenance function, performing or managing state and federal corporate filings, drafting corporate organizational and governance documents, and providing legal support on U.S. governance-related matters.
• Work with corporate and tax personnel to structure corporate ownership and draft related contributions, distributions, and assignment agreements
• Provide legal counsel on the development, implementation, and maintenance of corporate policies and procedures
• Provide U.S. legal support on intercompany agreements and other transactional work, which may include strategic corporate or finance transactions
• Provide pro-active support for complex transactions such as mergers, acquisitions, and divestitures, including due diligence, drafting and negotiating agreements, and post-closing integration
• Monitor local, State, and Federal tax policy landscape, trends, and laws and produce actionable strategies
• Provide technical tax analysis in connection with tax due diligence, tax structuring, and tax modeling for strategic transactions and corporate ownership
• Proactively identify and help drive continuous improvement in legal team processes
• Understand the intricacies of the Company's business model and strategic objectives and ensure legal resources are focused on company priorities
• Provide support for Company and Legal team initiatives outside of core areas of responsibility as needed

Requirements include:

• 4-7 years of relevant experience with a reputable law firm with clients in the financial services or technology sectors is a plus
• Candidate must have a Juris Doctorate, top academic credentials, and be a member in good standing of the Illinois bar
• The ideal candidate will be able to work independently under tight deadlines and possess excellent organizational and interpersonal skills
• Excellent management skills and business judgment with a capacity to make decisions and give advice, which demonstrates an understanding of overall business objectives and the risks/rewards of each situation
• Strong research and writing skills, and a demonstrated ability to communicate effectively with a non-legal audience, are required
