The Job: The Corporate Paralegal will support the VP, General Counsel in preparing and reviewing contracts, provide support for the Museum Board and Board Committees on legal and substantive matters, file and maintain operation licenses and provide other support to the legal office as assigned. This role will perform legal research for special projects and assignments.

Responsibilities

  • Collaborate with internal stakeholders in preparing statements of work that effectively communicate project deliverables, requirements, goals, schedule, and costs
  • Draft and review general commercial contracts and documents, including, but not limited to, general services agreements, fabrication agreements, construction agreements, location/filming agreements, IP licensing agreements, and special event agreements
  • Assist with maintaining electronic contract portal records
  • Provide corporate governance and compliance support for the Board of Trustees, including:
  • Draft board and committee minutes, consents and resolutions
  • Maintain corporate minute books and other corporate governance records, including board and officer changes and meeting attendance
  • Organize board and committee meeting materials and electronic and physical meeting files; familiarity with online board portals a plus
  • Supports the planning, organization and facilitation of board and committee meetings with respect to legal and substantive matters; ensure timely delivery of meeting materials
  • Assist with the preparation, distribution and review of annual conflict of interest disclosure questionnaires
  • File and maintain the portfolio of city and state operation licenses and corporate annual report
  • Develop and deliver training materials on contracting and procurement
  • Draft legal correspondence and summarize legal issues and prepare reports for attorney review
  • Participate as needed in advocacy on policy matters for the museum community, which may include cooperation with other museums and museum associations
  • Provide general support to legal department and assisting with special projects, as needed
  • Undertake such other duties as may be assigned

Qualifications

  • Bachelor’s degree from accredited institution a plus; paralegal certificate preferred
  • At least 7-10 years proven work experience as a Paralegal or Contract Administrator/Manager at private company or law firm; experience with nonprofit organizations a plus
  • A proven self-motivated, resourceful, creative, and adaptable with solid experience in effectively supporting legal functions
  • Substantive experience reviewing and negotiating commercial contracts and board governance matters
  • Must be able to handle highly sensitive information and maintain confidentiality at all times
  • Mastery of MS Office Suite including Word, Excel, PowerPoint, as well as Adobe
  • Excellent verbal and written communication skills; extremely detail-oriented, with an ability to spot errors
  • A high level of personal integrity and professionalism in dealing with management and outside attorneys is essential
  • Ability to set priorities, to multi-task and prioritize multiple assignments; work well under pressure
  • Ability to work both autonomously and collaboratively; dedicated team player
  • Solid research, analytical, organizational, and problem-solving skills
