Corporate Securities Paralegal (Santa Monica Corporate)

Under general supervision of the Vice President, Corporate Governance, the Corporate Securities Paralegal will provide support on a broad range of matters, including securities and public company regulatory compliance, corporate governance, and corporate records for a NYSE-listed REIT with over 350 active subsidiaries.

What You’ll Do

  • Support all corporate governance processes of parent public company, including assistance with preparation of Board of Directors’ calendar and agendas, materials for board and committee meetings
  • Coordinate preparation of proxy statement, including preparing and circulating director and officer questionnaires, collaborating on proxy development, and coordinating with compensation advisors and other key stakeholders, managing communications with financial printer and mailing agent
  • Assist with the preparation and execution of Annual Meeting of Stockholders, including coordinating with transfer agent, proxy solicitor and other third parties relating to preparations for the meeting
  • Thorough knowledge of public company filings under the Securities Act, Exchange Act, Section 16 and NYSE (Forms 8-K, 10-Q, 10-K, proxy statement, registration statements, Forms 3, 4 & 5)
  • Familiarity with use of the EDGAR portal and obtaining/maintaining EDGAR filing codes
  • Preparation and filing Section 16 reports and maintenance of related records, including securities ownership
  • Manage compensation programs for executive officers and independent directors
  • Assist with capital market transactions, including due diligence and document preparation
  • Assist with preparation and maintenance of subsidiaries corporate records, including minutes, consents, and resolutions, through the company’s various data rooms
  • Oversee the filing of entity formation documents, state qualifications, annual reports, and compliance in various states
  • Maintenance of company organizational chart
  • Collaborate cross functionally, including with executive management, HR, risk management, asset management, finance, and accounting teams
  • Support the Chief Legal Officer and Corporate Secretary

Your Key Success Attributes

  • Bachelor’s degree required
  • 8+ years of experience as a corporate securities paralegal with in-house experience strongly preferred
  • High level of proficiency with technology including Microsoft Office Suite applications
  • Well organized, strong attention to detail, ability to identify and prioritize tasks and successfully manage multiple projects
  • Excellent oral and written communication skills and a collaborative outlook

Salary

Estimated compensation for this position is:

$120,000 - $140,000 (Annual) + Bonus eligibility

The salary listed is an estimate and not guaranteed. A salary offer will vary based on applicant education, experience, skills, abilities, geographic location, internal equity, and alignment to market data.
