About the role
The Equity Administration Manager will be responsible for Rokt’s cap table and equity activities, including equity awards, transactions, and their accounting. This person will ensure the integrity of our cap table records and develop scalable and sustainable processes to support the growth of our cap table and equity incentive program as Rokt continues to mature. As a Manager, you are responsible for being the primary internal subject matter expert on all things related to equity administration and operations, including advisory on complex decisions related to the structure and operations of our progr
Responsibilities
- Manage the end-to-end administration of Rokt’s equity awards globally
- Partner with Finance, Legal, and People teams to ensure the equity administration processes support the company and stakeholders broadly including for areas such as compliance, tax reporting, global mobility matters and regulatory requirements as we approach IPO and beyond
- Partner with the Payroll team in order to ensure all equity related activities have the appropriate payroll treatment such as Form 3921 reporting for ISO exercises and payroll tax withholdings for NSO exercises
- Evaluate the impact of a change from issuing stock options to RSUs
- Evaluate and enhance current programs, policies, and practices to support a rapidly changing and scaling business
- Lead efforts to grow and scale the stock administration function, including but not limited to enhancing existing manual processes, automating processes and evaluating external vendors and service providers
- Process all new equity awards, option exercises, terminations, cancellations, repurchases, and modifications
- Provide monthly, quarterly and custom reports on equity activity, including share availability for awards and projections for option pool needs, including ad hoc analyses based on business needs
- Lead global equity reporting and compliance activities with a focus on international tax and regulatory requirements (done through annual filings and coordination with external providers)
- Prepare stock compensation expense calculations under GAAP for financial statement reporting purposes
- Provide audit support for all equity transactions and stock-based compensation calculations, as well as ensuring that internal controls and procedures are operating efficiently
- Assist in preparation of financial statement disclosures for Rokt’s equity plan and stock-based compensation expense for reporting and audit purposes
- Provide periodic educational sessions, presentations, and communications, in order to promote an understanding of Rokt’s equity program and policies
Requirements
- 10+ years of equity administration experience and 8+ years in post-graduate experience
- Broad experience with a range of equity compensation instruments and plans, particularly in the US and Australia
- Experience developing and implementing controls and processes around equity administration from the ground up
- Experience working directly with major third-party equity software systems (Carta or Shareworks) including the ability to lead an implementation of a new system
- Experience with secondary transactions and other liquidity events
- Extensive experience working cross-functionally on equity matters with legal, finance, and people teams
- Expertise with managing a complex cap table that may require management outside-the-box, i.e. outside of our cap table management software

Salary Range - $200,000 - $225,000 + equity + (great) benefits!
