Lead Commercial Counsel

Overview

The SingleStore Legal Team partners across the organization to advance and protect SingleStore's interests by contributing practical counsel, energetic problem-solving, and strong execution—all with efficiency and optimism.

We are looking for a Lead Commercial Counsel to be a key member of the legal team reporting to the General Counsel. The Lead Commercial Counsel will play a key role in supporting SingleStore's global Sales, Professional Services, Tech Alliances, Procurement, and Marketing organizations in structuring commercial transactions, and drafting and negotiating commercial agreements. You will be influential across all aspects of the business by partnering with Deal Desk, Sales Operations, Finance, and other stakeholder teams to ensure agreements are consistent with internal corporate policies and processes. This role will be the owner of numerous foundational aspects of our growing Legal Team in service of our goal to scale efficiently and effectively. To succeed, you will incorporate a pragmatic business-minded approach, with strong understanding of our key commercial terms, sales, and other go-to-market processes, and an ability to organize and implement best practices. This is an exciting opportunity that will allow you to apply your leadership skills and vision to the role.

Responsibilities:

  • Draft and negotiate agreements, including main services agreements, professional services agreements, reseller agreements, partner agreements, order documents, and NDAs, with a wide variety of customers. Your primary focus will be on main services agreements.
  • Draft and negotiate all types of vendor and alliance agreements.
  • Coordinate with internal and external subject matter experts, including external counsel, when needed.
  • Respond to inquiries re: contract interpretation and compliance.
  • Assist with CLM implementation and management.
  • Help create commercial contracts playbooks based on best practice.
  • Assist with other corporate initiatives as required (e.g., M&A, litigation, employment matters).
  • Support the continuous improvement of internal processes.
  • Establish and build good working relationships with internal clients, based on mutual trust and respect, as well as knowledge of the company's business, needs, and goals.
  • Other responsibilities as requested.

Qualifications:

  • A positive, can-do attitude and collaborative spirit.
  • 6+ years combined experience in a reputable law firm and/or in-house legal department, including experience negotiating and drafting technology license/Internet service agreements and professional services agreements.
  • Excellent written/verbal communication and negotiation skills, including drafting documents, emails and anything else in a very precise manner, while still being concise and digestible for non-lawyers. Attention to detail is a must.
  • A desire to partner with and educate team members across the company in a constructive, collaborative, and motivational way.
  • Ability to organize, prioritize and manage deadlines in a fast-paced and demanding work environment.
  • A confident, effective, and positive negotiator who can lead the process, use impeccable judgment to focus on important issues, and efficiently bring deals to a favorable close.
  • Experience with different kinds of commercial transactions (e.g., SaaS, partners, strategic alliance, IP licensing, software licensing, working with contractors, outsourcing, marketing, facilities, etc.).
  • Ability to successfully work independently with little guidance, but also able to use good judgment and proactively escalate issues when needed.
  • Licensed attorney. Active status in a U.S. state bar (ideally where the position is located).
  • Strong academic background, including a J.D. from a top U.S. law school.
  • Experience working in-house at a technology company, software company, or infrastructure company.
  • Familiarity with data privacy issues, including GDPR, CCPA, and information security standards.

Salary is based on permissible, non-discriminatory factors such as skills, experience, and geographic location, and is just one part of our total compensation and benefits package. SingleStore's base salary range for this role, if based in California, Colorado, Washington, or New York City is: $170,000 - $235,000 USD per year
