Mergers & Acquisition Corporate Attorney

About the role:

We are seeking a highly experienced Corporate Counsel to join our team! You will play a crucial role in our organization, focusing on mergers and acquisitions (M&A) and compliance. You will provide expert legal advice and guidance on M&A transactions, including due diligence, negotiation, and drafting of transaction agreements. Additionally, you will provide guidance and assistance with design, implementation, and monitoring of the company’s risk management policies and business processes and will help solve key operational and governance challenges.

What you will do:

M&A - 60% focus
o Negotiate and close commercial contracts, including master services agreements, statements of work, licenses, RFP responses, and supporting documents across the company
o Collaborate with and facilitate cross-team decision-making among the Legal team, Finance team, business teams and other internal teams
o Provide rapid, practical, business-oriented legal/commercial contract advice directly to business clients
o Assist in maintaining policies and compliance programs and act as a subject matter expert for contractual privacy and data safeguard clause
o Apply innovative problem-solving skills and practical business judgment to maximize revenues, minimize risk and foster long-term relationships
o Assist in the management of contract documentation workflows, approvals, reporting and archiving consistently with internal processes
o Provide legal advice and guidance to clients on all aspects of mergers, acquisitions, divestitures, joint ventures, and other corporate transactions.
o Conduct legal research and analysis to identify potential risks and legal issues associated with proposed transactions.
o Draft, review, and negotiate transactional documents, including letters of intent, purchase agreements, merger agreements, and disclosure schedules.
o Conduct due diligence investigations to assess the legal, financial, and operational aspects of target companies. Assist in the integration process after a merger or acquisition is completed.
o Represent the company in negotiations, meetings, and other interactions with counterparties and regulatory authorities.

Compliance & Other - 40% focus
o Maintenance, implementation, and monitoring of our compliance program and internal policies, including our Code of Conduct, privacy policy, vendor risk management and due diligence, identity and access management, acceptable use, breach notification, and incident response as well as external documentation such as our Terms of Service and other documentation;
o Partner with Sales, Product and Engineering, Marketing, Finance, Human Resources, and other departments to ensure that our products and services and internal operations comply with internal processes and controls, applicable regulatory requirements, and best practices;
o Assist Legal team with contract management, corporate governance, and federal and state regulatory filings;
o Act as an internal advisor/partner to departments regarding risk and compliance, including controls, best practices, and industry developments;
o Create and implement risk management processes in conjunction with business leaders, Security, and Finance;
o Assist with the development and implementation of controls in support of SOX compliance and other regulatory requirements;
o Oversee our vendor risk management program, including diligence screenings on all new and existing vendors (e.g., ethics, data security, and privacy)
o Develop customer-facing materials and facilitate customer due diligence and security/compliance inquiries;
o Participate in security incident response and investigations, including post-incident reporting to leadership, customers, and external parties;
o Assist in evaluating compliance and operational requirements for international operations and new markets.

About you:

o Juris Doctor degree from an ABA-accredited law school
o 5-7 years of experience in a global law firm and/or in an in-house legal department and at least 2 years experience with M&A transactions
o An undergraduate degree or MBA in finance or accounting is highly desirable.
o Strong experience in contract drafting and negotiation with a good understanding of intellectual property-related issues
o The ability to communicate information accurately and comprehensively, while being concise and digestible for non-lawyers
o Maintain strong, collaborative relationships with internal stakeholders and business partners
o The ability to thrive in a growing, fast-paced environment with a high level of professionalism and outstanding business judgment
o Experience in representing SaaS companies, preferred
o Experience analyzing and applying federal, state, and global laws related to privacy and data protection, including regulations and requirements, such as GDPR, CCPA/CPRA, etc., preferred
o Demonstrate positive customer service skills through communication, both internal and external.
