Legal Team Intern

Model N is looking for a Law student ready to jump start their career exposure with an internship. We offer unparalleled hands-on experience working in an exciting yet challenging industry. Consider this a career start, where you will have the opportunity to work alongside and be mentored by some of the brightest minds at Model N. 

 

You will have the opportunity to get to know the other Model N interns and participate in workshops and trainings designed just for you and your peers.  In addition, each week there will be time for additional learning through LinkedIn Learning on topics to help you develop your skills and business acumen.  


The Legal Team Intern project consists of 2 separate projects: 

 

RFP Repository 

Overview: Provides Sales and other stakeholders with a repository of RFP responses from Legal. Objective: This project standardizes our responses to all Legal related questions in a shared repository.  Outcome/Impact: This is useful to Sales/the business to expedite the RFP response process and encourages several verticals at Model N to streamline responses for Customer RFPs. 

 

Negotiation Playbook 

Overview: Refine Sales negotiation training materials, and Legal MSA negotiation playbook. Objective: Improve new logo and SaaS transition negotiations via updated training materials. Standardize Legal positions and responses to common negotiation points. Outcome/Impact: Increased visibility to Sales on different negotiating techniques (URL only, term sheet, etc.) and processes. Internal Legal Playbook streamlines Legal turn time, allows for uniformed responses, and assists with seamless legal support. 


Responsibilities:
  • RFP Repository 
  • The Intern should expect to engage with Sales Ops, to compile common RFP question list, work with Legal team to write responses, and provide approved responses to Sales Ops for inclusion into unified RFP response repository.  
  • At completion of project, responses will be stored with Sales Ops and approved for use in RFP responses. 
  • This will help the intern understand In-House Counsel’s role in supporting commercial negotiations and how Legal builds self-service tools to support the business. 

  • Negotiation Playbook 
  • Sales Training Materials: The Intern will work with Sales Ops and Legal team to determine status of existing trainings, determine appropriate location and medium for updated trainings, and create/complete revised training materials for ongoing use. This is further the Intern’s understanding of counsel’s role in supporting negotiations. 
  • Internal Legal Playbook: Intern will work with Legal team to build new negotiation playbook for Legal team’s use when negotiating MSAs, including an annotated MSA, Alternative Positions, Escalation notes, etc.  
  • This will allow for a deep-dive into understanding specific contractual provisions, how Model N specifically negotiates agreements, both in language and in process.  


Qualifications:
  • Strong collaboration skills
  • Willing to proactively engage with multiple departments: (deal desk, finance, sales, etc.)
  • Focused on a future career in the legal field(active law student, pre-law, etc.), especially as In-House Counsel.
  • Experience working in sales, negotiations, contracts, all helpful in skillset needed. 


Compensation
  • This internship will be paid hourly ($30/hour).
