Our investments span around the globe and operate in a wide array of industry verticals.We are seeking a Legal Counsel, M&A to join our team. This individual will work closely with our Chairman and General Counsel to provide legal expertise for our M&A endeavors, ensuring compliance, efficiency, and the protection of our interests. Additionally, they will provide legal support to our Deal Origination team, bolstering our due diligence processes and ideally reducing our time to close.Responsibilities• Serve as a subject matter expert on M&A legal matters, offering guidance and counsel to the deal team and stakeholders.• Conduct thorough legal due diligence on potential acquisition targets to identify and mitigate risks, ensure compliance, and support informed investment decisions.• Assist in structuring M&A transactions to optimize value, mitigate legal risks, and ensure alignment with the firm's strategic objectives.• Draft, review, and negotiate various transaction-related documents, including purchase agreements, confidentiality agreements, and other legal documents.• Stay updated on relevant laws and regulations impacting M&A transactions and ensure full compliance throughout the process.• Oversee the organization and maintenance of legal documents related to M&A transactions, ensuring accuracy and accessibility.• Identify, assess, and manage legal risks associated with M&A transactions and provide solutions to mitigate these risks.• Work closely with our General Counsel, deal team, external legal advisors, and other stakeholders to drive M&A initiatives.Requirements• JD from an accredited law school• Admission to the CA or NY State Bar• 3+ years of experience practicing law• M&A experience is required, ideally involving Private Equity• Experience with M&A due diligence, deal negotiation, etc.• In-house experience preferred, not required• Exceptional oral and written communication skills• Exceptional negotiation skills• Strong business and financial acumen• Problem solver, with a self-starter mentalityFor individuals assigned and/or hired to work in California, Regent, L.P. includes a reasonable estimate of the salary range for this role. This accounts for the wide range of factors that are considered in making compensation decisions; including but not limited to business or organizational needs, skill sets, experience and training, licensure, and certifications.A reasonable estimate of the current base salary range is $170,000 per year to $240,000 per year.
