Corporate Counsel /Commercial and Corporate/ - Austin/ TX /866-SLS/

Our client, an innovative and rapidly growing transportation and technology company, has exclusively retained Solutus Legal to assist the company in its search to add a Corporate Counsel to its legal team. This attorney will report directly to the General Counsel and will be responsible for a range of commercial and corporate matters. The role will require 3x per week in office at the company’s Austin, Texas location.Responsibilities include:• Reviewing, drafting, and negotiating a variety of commercial agreements including vendor agreements, customer and carrier agreements, IT agreements, licenses, facilities leases, and non-disclosure agreements.• Providing advice on termination or renegotiation of existing commercial agreements.• Providing support for corporate matters including corporate compliance, corporate registrations, books and records requirements, operation of the company’s equity awards program and corporate policies.• Supporting the business on various other legal needs as they arise including, litigation management, employment, insurance, transportation matters, corporate transactions and providing assistance on other matters as needed.The successful candidate will have the following qualifications:• A J.D. or equivalent degree from an accredited US law school and an active bar license in good standing in a U.S. jurisdiction.• 3-5+ years of experience negotiating, drafting, and finalizing a variety of commercial agreements. Strong drafting and issue spotting skills are required.• Experience working with a company/clients in the transportation space is a plus.• Highly responsive and service-oriented attitude.• Excellent interpersonal skills and a strong team orientation.• Adaptable and able to work independently with priorities that shift according to the needs of the business.• Excellent communication skills, written and verbal.• Ability to prioritize work and handle numerous tasks simultaneously in a fast-paced environment.• Ability to make independent decisions, assume responsibility and exercise good judgment.• Law firm experience, or a combination of law firm plus in-house experience, is required.Our client is looking for an organized, detail oriented, and efficient Corporate Counsel who is excited to continue to learn and grow.
