Staff Counsel

About the Role:

Reporting to the General Counsel, you will provide legal guidance on different issues affecting the Association’s strategic goals. You will play a trusted advisor role with several teams across the organization and will work on, among other things, membership, corporate governance, contracts and commercial activities, copyright and trademark issues, HR and employment matters, and supporting US and international operations through the growing use of technology-based solutions. You will work with departments to develop and address organizational needs and ensure compliance with applicable laws and regulations.

You Will:

  • Provide legal counsel on matters related to the Association, the international joint venture between AICPA and CIMA, with a focus on supporting public accounting.
  • Draft, review and negotiate a variety of US and international business transactions, including with channel partners, tuition providers, content creators, clients and vendors, amongst others.
  • Provide legal advice on issues unique to membership-based organizations, dealing with volunteers and volunteer-staffed committees and committee activity, including board and council meetings.
  • Support efforts specific to public accounting, such as Joint Trial Board, peer review, standard-setting, and advocacy.
  • Advise on credentialing and licensing examinations in US and globally.
  • Review and advise on global product marketing, placement and services, including branding, licensing and permitted uses of IP (trademarks and copyright).
  • On a global basis, license, enforce and protect IP assets, including trademarks, copyrights and domain names.
  • Provide advice on US and international employment and staffing matters, including policies, procedures, dispute resolution, and organizational change management.
  • Provide legal support for international business expansion opportunities.
  • Help ensure organization satisfies corporate governance requirements for entities in over 20 different countries, including US and UK.
  • Work with departments to resolve contract and other business-related disputes.
  • Manage outside counsel and other professional advisors in a cost-effective manner.

You Have:

  • Licensed attorney in good standing with the state bar where licensed.
  • Demonstrable relevant experience in the areas outlined in this job description.
  • Experience at a law firm, government agency, or professional membership association preferred.
  • Familiarity with the accounting or finance professions preferred
