THE ROLE
We are looking for senior-level in-house counsel to draft and negotiate a variety of cloud services agreements/SaaS, software license agreements, professional services agreements, and other customer-facing contracts related to the company's suite of products for the financial services industry.
Because we believe in the importance of collaboration and interaction with our colleagues to be the best business advisors, we work a 3-day office-based workweek and 2 days possible WFH. We want you to be anchored in our Miami (Florida) office or other US or LATAM key office centers.
OPPORTUNITES
• You will draft and negotiate a variety of cloud services agreements/SaaS, software license agreements, professional services agreements
• You will advise sales teams regarding a multitude of issues arising in the contract negotiation process, including, most notably, data security issues and risk management
• You will provide other legal support as needed, including dispute resolution, supporting human resources, marketing, IT, and due diligence in acquisitions.
• You will develop training material and provide necessary training based on business requirements.
• You will work closely with external legal advisors and other Temenos lawyers worldwide.
• You will draft and finalize commercial and service contracts with Temenos' partner network.
• You will handle commercial disputes, including pre-litigation, litigation, mediation, and arbitration, both domestically and internationally
SKILLS
• For the position in the Miami office, you should have a Law Degree from an accredited US law school or a law degree from another jurisdiction with a US LL.M. and be admitted to practice law in at least one state.
• For the Mexico City Office position, you should have a law degree in any jurisdiction and an LL.M., from an English-speaking university, preferably in the United States.
• You should have a minimum of four years of transactional experience as an attorney working at a technology company (e.g., software, cloud services provider, developer) or in the technology transactions practice of a law firm.
• You should be familiar with US privacy and data protection laws, the European General Data Protection Regulation, and other global privacy regulations and concepts.
• You should have experience working on revenue-generating SaaS, software licenses, professional services, and/or other technology contracts and overseeing deals from inception to close while managing risk and aiding the sales team in moving deals.
• You should have strong contract drafting experience emphasizing active voice contract drafting in English and Spanish
• You should be curious to learn the business details and product offerings.
• You should be committed to finding pragmatic solutions in closing deals while respecting the red lines set by the organization.
• You should be able to work autonomously on multiple deals with a sense of urgency.
• You should be a strong but tactful communicator who can articulate boundaries with customers while finding solutions.
• You should have a strong devotion to client service and a proactive style.
• You should have outstanding cross-functional collaboration, communication, and relationship-building skills
• You should be adept at quickly building rapport and becoming a trusted adviser with numerous internal stakeholders.
• You should have experience working for a multi-national company or clients in a multi-cultural, multi-national environment.
• You should speak and write perfect Spanish and English. Portuguese language would be a plus.
• You should have excellent command of MS Office suite.
