Summary:
This position directs the strategic compliance, enterprise risk management, and supports the legal functions of Travis Credit Union (TCU), ensuring alignment with the credit union’s mission, vision, and business unit objectives. The VP oversees the Compliance and Enterprise Risk Management department while also serving as Assistant General Counsel, providing legal advice and ensuring the credit union’s compliance with laws and regulations. This dual role focuses on identifying, tracking and mitigating risk, managing compliance, and protecting TCU from legal exposure across all aspects of its operations.
Principal Responsibilities:
Compliance and Risk Management:
- Strategic Leadership: Develops, directs, and implements TCU’s compliance and enterprise risk management strategies, ensuring that all programs align with applicable laws, regulations, and organizational goals.
- BSA/AML Oversight: Directs the Bank Secrecy Act/Anti-Money Laundering (BSA/AML) Compliance Program, including overseeing monitoring activities, compliance reviews, and training. Maintains updated policies and reports Suspicious Activity Reports (SARs) to the Security Committee.
- Business Continuity & Disaster Recovery: Manages TCU’s Business Continuity Plan (BCP) and Disaster Recovery (DR) programs, ensuring readiness and regulatory compliance.
- Fraud & Risk Mitigation: Oversees fraud prevention, loss reporting, and investigations, working with external legal counsel as needed. Reports to Executive Management and the Board of Directors on related issues.
- Insurance Management: Responsible for overall TCU corporate insurance coverage, working directly with vendors on claims.
- Vendor Management: Oversees the credit union’s contract vendor management program, ensuring compliance with legal and risk requirements.
Legal Counsel:
- Contracts & Agreements: Negotiates, drafts, and reviews contracts, ensuring compliance with federal and state regulations. Provides legal guidance on business law, corporate governance, and complex transactions.
- Litigation & Legal Risk: Manages TCU’s involvement in litigation, coordinates with external counsel, and oversees risk management efforts. Provides guidance on lawsuits, insurance matters, and potential legal liabilities.
- Regulatory Compliance: Provides legal advice regarding regulatory developments and their impact on the credit union. Works with management to develop strategies to mitigate legal risks.
- Corporate Governance: Provides guidance on issues such as mergers, bylaw revisions, and board governance, ensuring the credit union’s legal protections and compliance.
Leadership and Team Management:
- Staff Development: Recruits, develops, and retains a high-performing team for the Compliance and Risk Management Department. Establishes performance goals and holds the team accountable for meeting compliance objectives.
- Cross-Functional Collaboration: Provides compliance and legal guidance to all levels of staff and management. Works closely with auditors, regulators, and legal teams to address compliance and fraud issues.
- Training & Awareness: Develops and delivers training programs on compliance, risk management, fraud prevention, and legal matters to ensure staff awareness and adherence to regulations.
Community Engagement & Representation:
- Actively promotes TCU’s brand and mission by participating in community functions, credit union events, and representing TCU in legal and regulatory matters. Liaises with members, vendors, and external stakeholders as necessary.
Skills:
- Strong knowledge of federal and state regulations affecting credit unions and financial institutions.
- Proficiency in legal research platforms and strong analytical and problem-solving skills.
- Advanced proficiency in MS Office Suite and contract management tools.
- Exceptional written and verbal communication skills, with the ability to explain complex legal and compliance issues to non-experts.
- Strong leadership, negotiation, and vendor management skills.
- Ability to prioritize multiple projects in a fast-paced environment, with strong attention to detail and confidentiality.
Supervisory Relationships:
- Reports directly to the SVP, General Counsel.
- Direct management responsibility for Compliance and Risk Management department.
Experience and Education:
- Juris Doctorate degree from an accredited law school and a member in good standing of the State Bar of California.
- BA/BS in Business Administration or a related field, or equivalent experience.
- Minimum of 8 years of experience in financial institutions overseeing compliance, risk management, legal matters, and vendor management.
- At least 5 years of management experience leading high-performing teams in legal and compliance functions.
- Demonstrated experience in complex legal matters, contract negotiation, and regulatory compliance.
Working Conditions:
Work is generally performed within an office environment, with standard office equipment available and usually sedentary in nature with a potential hybrid or remote option subject to business needs. Requires traveling to Credit Union branches and other venues, and attending special and community-related events during business hours, evenings and/or weekends.
Participation in TCU Driving Program is required. Incumbents will be required to furnish their driving record from the Department of Motor Vehicles, proof on insurance and sign an authorization so TCU can obtain records directly from the Department of Motor Vehicles. Subject to any limitations imposed by law, full cooperation with any request for records or request for an authorization to seek such records is required.
Compensation: Base salary starting range: $237,500 - $262,500/annually is commensurate with experience.
