Corporate Counsel (6-month FTC)

*this role is open to remote working within the UK. Successful candidates will be required to travel to their closest UNiDAYS campus (London) on occasion.

The role in a nutshell

We are seeking a highly motivated and experienced Corporate Counsel to join our growing legal team. You will report to our Global General Counsel and work closely with our commercial and finance teams to provide legal advice and support. In this role, you will play a key role in supporting investment activities by reviewing and negotiating agreements, managing the vendor-side legal due diligence process and liaising with external firms and their lawyers.  

This opportunity will be full-time for 6 months.

Day to day responsibilities 

  • Drafting and negotiating agreements ensuring alignment with our objectives and legal requirements;
  • Review, analyse, and advise on a wide range of agreements, including commercial agreements as well as shareholder agreements within the context of secondary investments;
  • Support Global General Counsel on various project-related and corporate matters;
  • Research laws across a multitude of global regions, ensuring the parties involved meet all regulatory requirements; and
  • Provide practical guidance clearly and concisely on a wide range of ad hoc projects.

What we need from you

  • Qualified solicitor in England and Wales with extensive post-qualification experience in corporate transactions;
  • Experience with M&A transactions, including deal structuring, due diligence and documentation;
  • Excellent academic credentials;
  • Excellent negotiation and communication skills, with the ability to effectively interact with senior stakeholders, PE firms, and lawyers;
  • Tax experience is a plus;
  • Proven ability to work independently; and
  • Detail-oriented with strong organisational skills. Accountable with a high degree of professionalism, diplomacy, discretion and judgement.
