The role

xalts is seeking a highly qualified and motivated Legal Counsel to oversee the majority of legal aspects of our global business and to help form our department, tools and processes. 

xalts operates at the intersection of financial services, blockchain and digitization technology and strong corporate governance. 

This unique role is well suited to an experienced and driven individual looking to make their mark on this nascent industry with an extremely high addressable market by leveraging their diverse experience and ability to operate at a rapid pace. The successful candidate will see significant growth potential as they work alongside xalts’ founders and external counsels across markets to scale xalts.

Responsibilities

• Own the relationships with external legal counsels across relevant jurisdictions and ensure that any external legal resource is strategically appropriate for the advice/service sought

• Handle a broad range of group level legal work, including legal structuring of entities and general business counsel on partnerships, commercial contracts etc

• Giving accurate and timely counsel to the business on a variety of legal topics, including commercial contracts, technology licensing, corporate governance and fundraising.

• Advising on and negotiating xalts’ standard customer contracts and partnership & brand arrangements with our global FI and MNC client base.

• Managing the intellectual property and data privacy portfolio, including trademark licensing and hosting arrangements. 

• Support the company’s fundraising and M&A activities with the cofounders.

• Drafting and reviewing internal risk and governance policies and regularly monitor compliance.

• Oversee regulatory compliance and liaise with regulatory authorities and external counsel where necessary, creating relations of trust. 

• Establish tools and processes to support standardization and scalability.

Requirements

• 7+ years of experience at a tier 1 law firm, reputable in-house company or growth start-up, with substantive experience negotiating commercial contracts and/or M&A. 

• Qualified to practice in established common law jurisdictions. 

• Background in TMT law or M&A will be considered favorably. 

• High degree of professional ethics and integrity.

• Highly commercially minded.

• Proven interest within the technology / fintech / tokenization space. 

• Any experience with fundraising, corporate transaction management or regulatory applications/licensing is a plus.
