We are seeking a Sr. Paralegal with at least five years of relevant experience to support Visa’s corporate governance and securities functions. A primary focus of the role will be working collaboratively with other members of the legal team and other stakeholder teams to support Visa’s corporate governance practices and policies and to provide general paralegal support.
This position will be based in San Francisco, CA
Responsibilities:
Draft key corporate records, including minutes, resolutions and executive summaries for Board and Committee meetings.
Work collaboratively with the Legal team to prepare agendas, materials and books for the Board and Committee meetings.
Update governance documents, including charter documents, policies, procedures and other control processes.
Prepare and review D&O Questionnaires.
Assist with officer and director onboarding and offboarding and researching director education programs.
Coordinate with other stakeholder teams on related person transaction reviews and director independence analysis.
Support legal team in drafting and providing information for the annual proxy statement and other SEC and regulatory filings.
Support the legal team’s shareholder engagement efforts.
Respond to governance surveys and perform special projects.
Assist with document production for SOX compliance, internal audits and other special projects.
This is a hybrid position. Hybrid employees can alternate time between both remote and office. Employees in hybrid roles are expected to work from the office 2-3 set days a week (determined by leadership/site), with a general guidepost of being in the office 50% or more of the time based on business needs.
