The GLCR team is responsible for providing advice and counsel to our business and functional clients across the organization. The team helps the company avoid legal exposure, while ensuring compliance with local laws and regulations in the countries where AIG operates. GLCR colleagues provide support for all lines of business, collaborate on innovative deals and help shape the development of cutting-edge insurance products. The organization also includes the Government Affairs and Public Policy team, which covers the state, federal and international levels of the AIG businesses. The team’s objective is to work with policymakers and other stakeholders to influence the development of applicable laws and regulations that currently, or have the potential to, impact AIG. We work alongside the businesses to help AIG grow in mature and emerging markets and assist them in navigating complex regulatory or government nuances. We collaborate with our Legal colleagues to deliver successful outcomes and protect the businesses from uncertainty.
About the role:
What you need to know:
This role will work with the regional counsel for Latin American and the Caribbean in cooperation with the rest of the legal team as well as with the Executive Management in Puerto Rico. This role will be a critical contributor to look after insurance products and distribution schemes to be launched in the Puerto Rico and in the implementation of other regional strategies for Latin America and the Caribbean. This role will provide day-to-day legal support to the Puerto Rico operation and the Caribbean as well as to other members of the LAC Legal Team, US team and all other core functions as required to advise on transactional legal issues, including party to party negotiations, drafting and reviewing legal and policy documentation with responsibility for driving operational efficiency whilst effectively managing legal and regulatory risk, procurement, vendors, TPAs management, IT matters, among others.
Further, this resource will deal with company secretariat and controls at three Puerto Rico domiciled entities and will be responsible of handling regulatory relationships in Puerto Rico and the Caribbean. This role is based in Puerto Rico.
Some of the key responsibilities include:
Lead Company Legal Area in Puerto Rico.
Assist on all regulatory matters in Puerto Rico and the Caribbean.
Analyze legal issues, drafting legal documents, presenting viable recommendations, and assuring legal compliance.
Legal advice to local, regional areas as well as to Headquarters regarding viability of proposed commercial strategies, consumer strategies, and legal support to all local company areas, covering local regulations, corporate governance, business proposals, specific corporative consultation.
Legal support to commercial and consumer lines product development including review of existing policy wording and endorsements.
Plan, manage, and direct legal advice, and representation to protect the company’s interests and operations under the law.
Anticipates issues and facilitates solutions to legal challenges in support of business growth and ensures the proper and complete handling of all legal matters through in-house legal team and outside counsel.
Strategic corporate project development such as stock transfer, capital infusions, statutory reform, corporate name changes.
Responses for supervisory, oversight and regulatory authorities.
Analyzing and negotiating contracts and monitoring changes in regulation for appropriate incorporation.
Performing Corporate Secretary duties for Board of Directors and Shareholder’s meetings.
What we’re looking for:
Juris Doctor/Law Degree and license to practice law in PR.
This position suits candidates with vast and progressively legal experience in insurance, financial and corporate law areas, preferable in the role of General Counsel.
Strong knowledge of insurance and financial regulation, insurance association, brokerage, reinsurance, legal risk management, gained within a complex multinational environment.
Strong sense of compliance and e ethicist.
Vast experience in legal, regulatory, and procedural requirements.
Strong drafting, analytical, negotiation and problem-solving skills.
Excellent communication skills in English and Spanish (Verbal and Written).
Able to work independently and collaboratively, with communication and cooperation across organizations and functions, and to also multi-task effectively in a fast-paced environment.
Computer literate in MS office programs (Word, Excel, Powerpoint, Teams)
Possess strong interpersonal and collaborative skills to contribute effectively within an individual and team setting.
Exceedingly customer service skills and results driven.
