You will demonstrate leadership, take criticism positively, and seek process improvement.

What you'll be doing:

  • Assist in drafting and reviewing other disclosures and corporate communications, including earnings releases, press releases, investor presentations, and internal communications;

  • Support all aspects of corporate governance functions including advising our board of directors and committees, preparation of board materials, setting agendas, and preparing minutes;

  • Support the legal aspects of our equity program administration, including administration of our 10b5-1 plans, evaluating pre-clearance for restricted persons, and overseeing securities trading policy compliance;

  • Partner across the business with executives and corporate development personnel as a trusted advisor to manage all stages of mergers, acquisitions, joint ventures, and other strategic business opportunities, lead due diligence, draft and negotiate term sheets and transaction documents, manage corporate governance aspects, and support post-closing integration efforts;

  • Manage outside counsel and ensure they are tracking to budget;

  • Research, monitor, and analyze relevant laws and regulations and advise management and the board of such developments; and

  • Perform other duties as assigned/required.

What you'll have

  • Bar admission or equivalent and in good standing to practice law in your relevant jurisdiction;

  • 20+ years of experience supporting SEC filings, corporate governance, M&A and related transactions with both a major law firm and in-house;

  • Extensive experience with publicly traded companies, corporate governance, and corporate entity matters;

  • Experience sizing up acquisition targets, negotiating key items, and closing transactions in multiple geographies;

  • Experience with technology companies is a plus; and

  • Excellent and professional command of the English language in a written and verbal capacity.

Critical Competencies:

  • Demonstrate strong analytical skills and an ability to problem solve and think creatively in a fast-paced environment;

  • Demonstrate leadership, take criticism positively, and champion process improvement;

  • Be a highly analytical self-starter with the acumen to build relationships across the organization;

  • Be able to work independently and develop strong relationships with peers in accounting, finance, investor relations, and other departments;

  • Provide regular reporting to internal department stakeholders

  • Enjoy April Fools pranks and Halloween shenanigans and have the ability and desire to contribute productively to both; and

  • Have a strong work ethic.

This position will report to the General Counsel. We are open to hiring anywhere in the continental United States. Udemy's Legal department works almost exclusively from home, although we try to meet up from time to time and work together in our hubs in San Francisco, Denver, and Dublin (Ireland) if convenient, although we get less work done on those days because we're laughing so much.

We understand that not everyone will match each of the above qualifications. However, we also realize that everyone has unique experiences that can add value to our company. Even if you think your background might not perfectly align, we'd love to hear from you!

Life at Udemy

We aspire to be as vibrant and dynamic as the communities we serve, as inquisitive as those who use our platform, and as revolutionary as the future we strive to open for everyone. Here are some of the things we love about life at Udemy:

  • We're invested in creating an inclusive environment that welcomes a diverse range of backgrounds and experiences. From creating employee resource groups, ensuring we're a Fair Pay Workplace, and building a flexible work culture, our belonging, equity, diversity, and inclusion (BEDI) initiatives always put our people first. We want you to be able to bring your authentic self to work because when we all do, we're better for it.

  • Learning is what we do – inside and out. Our Learning & Development team is second to none, helping ensure your journey is one of continuous progression. You'll also have unlimited access to Udemy courses, monthly UDays (meeting-free professional development days), and a generous annual professional development stipend.

  • Our reason to exist is to revolutionize learning – that calls for taking risks and learning from failures. Whether it's our hackathons (a company-wide effort to envision new possibilities for our product) or sharing our prototypes, we see experimentation as a crucial step on the path to success.

  • We're committed to creating world-class employee experiences and are proud of the recognition of this by Great Place to Work. Learn more about our certification here and find out what it's like to work at Udemy on our blog.

Of course, the best thing about being part of Udemy is knowing your work makes a difference for people and organizations around the world. You've got the skills; why not use them to help others develop theirs?
