Reporting directly to the VP/Deputy General Counsel for Corporate/Securities/M&A, you will support critical governance, securities, Finance/M&A, and executive compensation matters. This role is ideal for an ambitious junior attorney seeking broad exposure, mentorship, and the ability to impact key strategic corporate matters.What You'll Do:• Support corporate governance activities domestically and internationally, including support for Boards of Directors and relevant committees, managing domestic and international subsidiary and branch corporate activities, and playing a central role in implementing a scalable global entity management platform.• Assist in securities matters, including periodic filings on Forms 10-K and 10-Q, filings on Form 8-K, and proxy filings.• Participate meaningfully in the preparation of annual proxy materials, and support coordination of annual shareholder meetings.• Support M&A transactions, including due diligence, document drafting, and transaction closings, and a wide variety of international intercompany arrangements.• Support executive compensation, equity plan administration, Section 16 and 10b5-1 plan matters.• Support investor relations in reviewing investor presentations, earnings scripts, and press releases.What You Need:• J.D. degree with strong academic credentials.• At least 2 years of relevant experience in corporate transactions and/or securities law, either at a reputable law firm or in-house environment.Bonus Points:• Combination of law firm and in-house experience preferred.• Exposure to global operations strongly preferred.• Familiarity with equity compensation programs and Section 16 filings preferred.The Whole Person Promise:At Bandwidth, we're pretty proud of our corporate culture, which is rooted in our "Whole Person Promise."
