This is an exciting opportunity to join an incredible legal team reporting to Associate General Counsel, Corporate, Compliance and Employment.

This is a remote role. If located in the Bay Area, the ability to travel to our Santa Clara HQ office once a week is preferred. 

Responsibilities:

• Securities:
• Ownership of legal review of SEC filings in collaboration with our SEC reporting team, including Forms 10-K, 10-Q, and 8-K
• Drive the proxy statement and annual stockholders’ meeting processes
• Review and own beneficial ownership reports on Forms 3, 4 and 5
• Advise on quarterly earnings release materials and securities law compliance and disclosure matters, including disclosure controls and procedures
• Monitor and advise on new SEC rule makings
• Advise and support the company’s compliance with applicable securities laws as well as applicable stock exchange requirements
• Assist with investor relations in drafting and vetting investor-facing and other corporate communication
• Monitor equity-related compliance matters, including administration of our insider trading policy and 10b5-1 guidelines
• Governance:
• Assist with board and committee meeting preparation, including drafting and reviewing board resolutions, minutes and corporate policies, and general corporate hygiene
• Provide legal support for maintenance of Couchbase subsidiaries and international compliance 
• Strategic counseling on and interpretation of company policies and procedures, including ethics and insider trading policies
• Advise and assist on other corporate governance matters, including with respect to executive compensation, ESG efforts and reporting
• Coordinate with and oversee outside counsel
• Participate in cross-departmental initiatives to design and implement organization-wide objectives
• Assist in M&A, real estate, capital markets or other special transactions as needed, including equity and debt offerings
• Opportunity to take on further responsibilities within Couchbase Legal, such as employment, compliance or commercial legal matters

Expectations:

Within 30 days, understand key policies and procedures; collaborate with personnel with significant contributor roles in corporate matters; and integrate into and contribute to securities and governance work streams.

Within 60 days, drive some securities and governance work streams with supervision/visibility of the Associate General Counsel - Corporate; understand when to escalate key risks or action items for decision; demonstrate ability to clearly communicate business risk while proposing effective solutions.

Within 120 days, drive >50% of securities and governance work streams; act as key point of contact with collaborating teams for corporate matters; act as key contributor and liaison to other teams for cross-functional projects; begin assisting on projects within employment, compliance and/or commercial matters. 

Requirements:

• J.D. with excellent academic credentials 
• Minimum of 2 years of corporate and securities experience at a top tier law firm 
• Licensed to practice law in at least one U.S. state
• Excellent oral and written communication skills with significant attention to detail
• Demonstrated ability to be organized, work efficiently, prioritize workflow, meet deadlines, and manage cross-functional projects
• Sound and practical business judgment with an awareness of when issues need to be escalated
• Proven track record of learning quickly, taking initiative, working proactively, being resourceful and taking on additional responsibility

The anticipated starting base pay range for this role is listed below. Base salary is not the only component of our competitive total rewards package - you may also be eligible for bonus, commissions, equity, and other benefits as described below. Actual compensation is influenced by a wide array of factors including but not limited to skill set, level of experience, licenses and certifications, and specific work location.

$145,000—$194,000 USD
