Position Overview:
The Junior Legal Counsel will assist the legal department in providing comprehensive legal support to the organization. This role involves conducting legal research, drafting and reviewing documents, and ensuring compliance with applicable laws and regulations. The ideal candidate will have a strong interest in corporate law, excellent analytical skills, and the ability to work collaboratively in a fast-paced environment.
Key Responsibilities:
Legal Work, Research and Writing:
- Conducting legal research to find relevant laws, regulations, and legal precedents;
- Draft, review, and negotiate a broad range of legal documents, including on tasks related to regulatory, M&A, corporate, tax, and other matters within the legal team’s scope;
- Summarizing legal research and findings for the team.
Corporate:
- Assist in the drafting of policies, guidelines, templates, and other documents to bring and ensure best market practices;
- Support of internal stakeholders' communications, reporting, and task management;
- Drafting of resolutions, minutes, registers and related corporate and internal documentation to support the company’s board of directors, different service providers, banks, and institutions;
- Maintaining the company’s registers.
Project Management:
- Organizing and maintaining inner processes within the legal team;
- Documented all the flows the legal team has;
- Tracking important dates and deadlines;
- Assisting in the preparation and management of necessary materials.
Document Management:
- Drafting and reviewing legal documents and correspondence;
- Filing documents with courts and government agencies;
- Ensuring that all necessary documents are prepared and submitted in a timely manner.
- Take care of invoices & necessary agreements for legal expenses.
You have:
- LLB/LLM degree in law or equivalent;
- 0-3 years of PQE as in-house counsel and/or in a law firm with a focus on informational technologies, international markets, M&A, or related matters;
- Hand-on experience with corporate matters across multiple jurisdictions;
- Passion for cryptocurrency and blockchain technology, centralised and decentralised solutions;
- Excellent communication and interpersonal skills
- Good command of written and spoken English;
- Being proactive.
What will be nice for a successful candidate to have:
- Proven experience with legal support of cryptocurrency projects;
- Proven experience with complex M&A transactions;
- Hands-on experience in the US and European cryptocurrency, securities, and KYC/AML regulations and products.
