A growing comapny in line clearance management and disaster recovery services, committed to excellence and innovation in the industry is looking to expand their team with a Corporate Counsel focused on mergers and acquisitions (M&A) and sophisticated transactions to support our strategic growth and initiatives.. The ideal candidate will have a strong background in drafting, negotiating, and managing agreements related to M&A activities and other sophisticated transactions, ensuring alignment with our business objectives.The Corporate Counsel will:• Lead the legal aspects of mergers, acquisitions, divestitures, and joint ventures, including due diligence, contract negotiation, and regulatory compliance.• Provide strategic legal guidance on the structuring of complex transactions, ensuring optimal legal and business outcomes.• Work closely with internal stakeholders, including executive leadership, finance, and operations teams, to facilitate smooth transaction processes.• Draft, review, and negotiate a variety of agreements related to M&A activities, including purchase agreements, asset sales, and shareholder agreements.• Identify and assess legal risks associated with transactions and provide recommendations for risk mitigation.The Corporate Counsel must have:• Juris Doctor (JD) from an accredited law school.• Active bar membership in Virginia or eligible for in-house counsel registration.• 3 to 5 years of experience in M&A and sophisticated commercial transactions.• Strong understanding of corporate law, regulatory requirements, and best practices in M&A.• Excellent analytical, negotiation, and communication skills.• Ability to thrive in a fast-paced, dynamic environment and work collaboratively with diverse teams.If you are looking to grow your career at a company that puts people first, and have a strong background in M&A, please apply in directly.
