Job Summary:
This Director position is responsible for supporting the planning and managing of key acquisition and divestitures with accountability emphasis on buyer / seller governance and TSA (Transition Service Agreement) services. This position will lead and manage projects across functional work streams during the TSA services phase. Additionally, this role will support the VP of Business Transformation in other BTO (Business Transformation Office) projects as needed.

The scope of position includes active driving the TSA services planning phase as well as actively leading, managing, and negotiating, during the actual TSA services duration including the services wind down phase at the close of the TSA services period. An ideal candidate should be an experienced leader with the ability to think strategically and execute on a vision while managing the details for multiple Billion-dollar transactions simultaneously. Additionally, role requires seasoned leader who can identify, analyze and resolve complex issues. Must possess excellent communication skills as the role routinely engages with executive leaders at Nestle as well as executives at buyer organizations (managing directors and C-level executives). An ability to manage through influence is critical to the success of this role.

Job Responsibilities:
  • Serve a critical leadership role in M&A projects
  • Actively drive the TSA development phase through full conclusion. For most projects, 12 to 24 months.
  • Full oversight of TSA management. Total TSAs billing can be in excess of $75MM
  • Serves as Nestle SPOC for buyer / seller on operational governance, escalations for Transition Services Agreement (TSA)
  • Covering multiple Business units coupled with multiple functional sites in one or more markets (This is a Global facing role).
  • Includes acquisition integration and divestiture TSA management

Requirements:
  • Minimum 10-15 years of experience in M&A required
  • BA/BS in Business or Finance required; (Masters Preferred)
  • Experience with integrations, and knowledge of TSAs & governance
  • Experience managing internal stakeholders at C suite level, along with the ability to manage global stakeholders
