What you'll be challenged to do:
TranSystems is seeking a Federal Contracts Specialist to join our Federal Business Development team to manage cradle to grave contract and subcontract management associated with the Federal Market Sector’s portfolio of contracts. The Federal Contracts Specialist will report to the Federal Market Sector Leader (MSL) and will support our Client Service Leaders (CSLs) and Project Managers (PMs) to position, prepare, review, and execute federal contracts and subcontracts for Architect-Engineer related services in compliance with the Federal Acquisition Regulations (FAR) and other U.S. Government acquisition requirements.
Basic Responsibilities:

Works with the MSL, CSLs, PMs, and the Legal department as appropriate to review Federal contracts, subcontracts, teaming agreements, non-disclosure agreements, and Joint Venture agreements.
- Identify contractual risks and make recommendations to mitigate those risks.
- Maintain official contract files including agreements, prime contracts, subcontracts, and associated contract modifications.
- Support Defense Contract Audit Agency (DCAA) and Defense Contract Management Agency (DCMA) audits/reviews.
- Develop Annual Disclosure Statement as appropriate.
- Maintain compliance with various reporting requirements including, but not limited to, System for Award Management (SAM) registration (annual representations and certifications), Contractor Manpower Reporting System (CMRS), Electronic Subcontracting Reporting System (eSRS), Federal Subaward Reporting System (FSRS), and Certificates of Insurance (COI).
- Prequalify subcontractors, including review of past performance, financial stability, reputation, socioeconomic status, and federal compliance factors. Maintain a database of pre-qualified subcontractors for use by the sales team in assembling teams for pursuits, including socioeconomic status.
- Develop subcontractor Master Service Agreements for Indefinite Delivery, Indefinite Quantity (IDIQ) contracts and subcontracts for individual task orders.
- Work with internal stakeholders to develop Statements of Work, terms and conditions, flow-downs, schedules, pricing instructions and change order management.
- Support review of subcontractor invoices, and work with Finance to resolve billing and payment issues as required. Identifying and mitigating risk, successfully negotiating favorable terms and pricing, and making recommendations to management.

Use thorough knowledge of government and commercial contracting and procurement regulations to ensure the flow down of appropriate clauses and compliance with contract specifications and applicable laws.

Tracking and reporting on the status of contract requirements and deliverables, as well as compliance reporting.

Participate in the preparation of solicitation documentation, proposal review, and negotiation.

Draft, review, and negotiate various professional services contracts, teaming agreements, NDAs, and other types of contracts and documents with legal significance.

Assist internal clients with matters relating to our standard contract templates and agreements already in place with external clients.

Assist in the management of negotiations on a non-confrontational basis.

Regularly contribute to and refine the company’s templates, playbooks, and guidance documents.

Provide data analysis of contract review trends over time using Excel (e.g., type and quantity of contracts reviewed, how quickly the review was conducted, etc.).

Support department-wide efforts to organize, manage, and archive contracts and agreement templates.

Participate in special projects to develop, implement, and enhance processes and policies.

Ensure standard contracts practices are utilized across the company with a focus on continuous improvement.

Prior experience with financial reporting software, Deltek Costpoint and/or Vantagepoint accounting system considered a plus.-
Active clearance considered a plus.

For individuals assigned and/or hired to work in California, Colorado, or NY City, TranSystems is required by law to include a reasonable estimate of the compensation range for this role. This compensation range takes into account the wide range of factors that are considered in making compensation decisions including but not limited to skill sets; experience and training; internal peer equity; licensure and certifications; and other business and organizational needs. The disclosed range estimate has not been adjusted for the applicable geographic differential associated with the location at which the position may be filled. At TranSystems, it is not typical for an individual to be hired at or near the top of the range for their role and compensation decisions are dependent on the facts and circumstances of each case. A reasonable estimate of the current range is $100,000 - $200,000 annually.
