With specific expertise in the areas of corporate law, commercial law, employment law, and intellectual property; the LCO offers strategic legal counsel that is informed by a clear understanding of the company’s business objectives and expertise in the laws and regulations relevant to the business worldwide.Job Description/Preferred QualificationsKLA’s Ethics & Legal Compliance team is seeking a highly motivated and seasoned Ethics & Compliance Counsel, reporting directly to KLA’s Chief Compliance Officer (CCO), in either KLA’s Ann Arbor, Michigan or Milpitas, California offices. In this position, the qualified candidate will have responsibility in overseeing KLA’s worldwide antitrust compliance program, assist with cybersecurity and information governance legal compliance issues and investigations, be responsible for KLA’s legal risk assessment and compliance effectiveness program, among other strategic initiatives. The qualified candidate must have a deep experience with establishing and maintaining worldwide ethics & compliance programs, have a passion for ethics and compliance, be a superb communicator, and be able to drive results in a timely and cost-efficient manner.Primary Responsibilities• Serve as one of the lead Ethics & Compliance counsels directly reporting KLA’s Chief Compliance Officer, assisting the CCO across a multitude of areas to enhance and maintain KLA’s worldclass ethics & compliance programs;• Primary responsibility for KLA’s worldwide antitrust compliance program, working together with the KLA commercial legal team and the business to oversee KLA’s antitrust compliance program, including any antitrust orders issued by government agencies and issues arising from M&A transactions;• Primary responsibility for KLA’s periodic worldwide risk and compliance program assessment process – working with other compliance program owners to assess the most significant ethics & compliance risks facing the company and assessing whether the compliance programs are effective based on the DOJ’s and other regulatory agencies’ guidance on effective compliance programs;• Working with KLA’s CCO and Chief Information Security Officer (CISO) to assist with addressing cybersecurity legal, governance and investigation issues, as well as assisting the CCO, CISO, and IP legal team in overseeing KLA’s information governance program;• Working with KLA’s Government Affairs office and other business leaders to maintain KLA’s international lobbying compliance program;• Conducting internal investigations, developing and delivering training, helping conduct compliance audits, and helping with and managing other strategic projects for the Ethics & Legal Compliance group as needed.Minimum Qualifications• Qualified attorney licensed to practice law in the United States, preferably in Michigan and/or California• At least 8 years of experience as an ethics & compliance professional at a U.S. multinational company or similar experience at a top law firm, with deep experience establishing and maintaining effective ethics & compliance programs that prevent, detect, and remediate compliance issues.• Expert antitrust compliance counseling experience and knowledge of international antitrust laws, with a particular focus on U.S., Europe, and Asia (China, Korea, Singapore, Japan) antitrust laws. Deep practical experience in advising on a wide-range of antitrust issues, such as potential antitrust issues arising from discounting, hiring, exclusivity, bundling, and M&A practices and deals, participating in standards organizations, industry associations, or joint lobbying efforts, among other issues;• Expert knowledge of the U.S. Federal Sentencing Guidelines as it relates to effective corporate compliance programs, and substantial experience and knowledge of conducting comprehensive risk assessments;• Keen interest in learning or experience in addressing cybersecurity and information governance legal, governance, and investigation issues;• Experience working with government regulators, including law enforcement, to address and resolve compliance issues;• Substantial experience conducting ethics & compliance monitoring activities, including conducting internal investigations and ethics & compliance audits;• Highly developed interpersonal skills; must be able to interact and communicate with clients at all levels of the organization, including business executives.• Strong and independent demeanor, capable of standing up to business pressures and strong client personalities.• Self-motivated and persistent; strong ability and comfort in exercising independent judgment for obtaining results while containing legal risk.• Excellent oral and written communication skills.The company offers a total rewards package that is competitive and comprehensive including but not limited to the following: medical, dental, vision, life, and other voluntary benefits, 401(K) including company matching, employee stock purchase program (ESPP), student debt assistance, tuition reimbursement program, development and career growth opportunities and programs, financial planning benefits, wellness benefits including an employee assistance program (EAP), paid time off and paid company holidays, and family care and bonding leave.KLA is proud to be an Equal Opportunity Employer.
