SUMMARY
The Senior Counsel is an in-house generalist position that will support a wide range of business needs with a focus on negotiating and drafting a wide range of commercial contracts, intellectual property and litigation support and other risk mitigation initiatives.
The right individual will have 6-12 years of experience in an in-house setting, a broad base of legal experience and commercially focused business acumen, and be self-sufficient, ready to learn, and able to support a fast-paced business environment.
PRIMARY RESPONSIBILITIES AND ESSENTIAL FUNCTIONS
Primary Responsibilities
  • Be a business partner working cross-functionally throughout the organization to drive and/or support transactions, revenue and margin-driving initiatives and strategic projects and activities.
  • Draft, negotiate and close a myriad of business contracts, including retailer and international distribution agreements, vendor contracts, commercial leases and license agreements, etc.
  • Support the internal product development team in respect to patent clearance review and IP procurement.
  • Manage the company’s patent portfolio.
  • Support litigation matters managed by outside legal counsel.
  • Support corporate compliance and risk mitigation initiatives.
  • Drive business simplification and operations improvements.
  • Assist with employment and HR legal issues.
  • Other duties and responsibilities as assigned.
QUALIFICATIONS & EXPERIENCE
  • 6-12 years of corporate in-house experience with a focus on commercial, intellectual property, compliance and generalist work.
  • Ability to review, process, prioritize, and draft a host of commercial contracts for various business segments (i.e. IT, Marketing, Sales, Operations, HR) in a fast-paced environment.
  • Experience managing IP portfolios and processes, including reviewing patent claims to support clearance review.
  • Experience with consumer products and/or retailer industry preferred.
  • Ability to work autonomously on a multiple of projects.
  • The individual must be able to maintain the highest level of confidentiality and professional demeanor, work well under pressure, and have a strong work ethic and an appropriate sense of urgency.
EDUCATION & SKILLS
  • Juris Doctor from ABA approved law school.
  • Proficiency in Microsoft Office applications, database management experience.
  • Strong business acumen and verbal and written communication skills.
CERTIFICATES, LICENSES, REGISTRATIONS
  • License to practice law in the State of Georgia or State of Rhode Island preferred (required to be active license).
  • Will also consider qualified remote candidates.
Physical Demands
  • While performing the duties of this job, the team member is regularly required to sit; have flexible use of hands; and talk or hear.
  • The team member is occasionally required to stand, walk, and reach with hands and arms.
  • Specific vision abilities required by this job include close vision, and color vision.
