Associate General Counsel
TerraPower is seeking an Associate General Counsel to provide legal support on commercial and regulatory matters for TerraPower’s reactor businesses. The Associate General Counsel will report to the General Counsel of TerraPower. The Associate General Counsel will work collaboratively with TerraPower’s business and technology personnel, outside counsel and counsel for TerraPower’s suppliers, Research and Development collaborators, and other contractors both in the US and abroad.
Responsibilities:
• Provide legal advice related to contracts for transactions with research and development suppliers, including National Labs, universities, and private companies in the US and abroad. The position will also assist with government contracts and grant agreements as well as joint venture and other collaborative agreements.
• Advise TerraPower business units, contracts and supply management, and technical personnel on the legal ramifications of contracts, business strategies, compliance requirements, and other matters.
• Manages legal and regulatory issues on a proactive basis and provides related training.
• Manages legal initiatives for various projects and topics.
• Manages Compliance, legal and regulatory/export control issues on a proactive basis, both in the US and internationally.
• Coordinates with intellectual property team on IP issues.
• Manages outside counsel, including foreign counsel
• Periodic overseas and domestic travel required.
Key Qualifications and Skills:
• Minimum of 12 years’ experience, including top-tier law firm experience, preferably in the energy or nuclear sectors; inhouse experience a plus.
• J.D. required with license to practice in at least one state. Member of the Washington State Bar, or eligible for admission via in-house rule Admission to Practice Rules (APR) 8(f) which must be obtained promptly after start date.
• Strong contract and commercial law experience, including technology transactions.
• Experience drafting and negotiating government contracts, grant agreements and related supporting contracts; familiarity with related compliance issues including Federal Acquisition Regulations (FARs).
• Experience managing and documenting complex contracts and business transactions in a clear and organized manner.
• Experience handling and developing guidance on regulatory matters, including export control, preferably in the nuclear context.
• Ability to manage outside counsel effectively and efficiently.
• Demonstrated creativity in legal approaches to complex problems and issues that balance business needs and legal risks.
• Experience with international transactions a plus.
• History of integrity, sound legal and business judgment and an ability to communicate effectively.
• Entrepreneurial mindset and ability to work independently across time zones and cultures to quickly address novel situations and change.
• Technical background or proven ability and interest in learning new technologies.
• The successful candidate will have a high degree integrity, communicate openly and display respect, be trustworthy and have a desire to foster teamwork.

TerraPower must evaluate applicants who are foreign nationals (other than asylees, refugees, or lawful permanent residents) in accordance with U.S. Government export control requirements. Salary Range Level 14: $221,506 - $300,399
*Typically, our employee salaries are within .90 – 1.0 of the mid-point of the posted salary bands. Any salary offered within the posted salary band is based on market data and commensurate with the selected candidate’s qualifications and experience. This range is specific to Washington State.
