The Associate Counsel, Operations will be the Legal Business Partner to the Operations organization and will be a key member of the Operations Leadership Team and Legal Leadership Team. As such, the manager will be the primary legal contact for the Operations organization and will work collaboratively to develop a legal strategy in support of the functional strategy and goals. The manager will seek to continuously improve the legal service provided while enhancing efficiency by developing an understanding of business needs and stakeholder perspectives and through leveraging internal and external legal experts to identify potential legal implications and solutions.

Responsibilities

Acts as a strategic legal business partner to the Operations Leader and Operations Leadership Team

Design, build, and execute strategic legal objectives that drive exceptional performance within the Operations organization.

Provide support on the research, design, and development of legal initiatives in support of the legal strategy, using knowledge of the functional area.

Provide leadership and legal support for a wide range of operations affairs across Manufacturing, Distribution, Quality Assurance and Regulatory Affairs (QA/RA), and Customer Experience.

Monitor and analyze potential legal risks and develop plans for addressing and mitigating them as appropriate.

Provide ongoing education to the Operations team on relevant legal matters.

Lead contract review and negotiations.

Provide advice and counsel concerning contracts, employment law, FDA Regulatory, compliance and other day-to-day matters affecting CONMED’s operations and business.

Draft and negotiate agreements (supply chain manufacturing, distribution, sterilization, licensing technology, and vendors).

Manage outside counsel relationships.

Collaborate with other members of the legal team to ensure consistency in legal advice across CONMED.

Work independently, with attention to detail.

Provide sound judgement and have the ability to analyze large amounts of information, identify relevant issues and propose viable solutions.

Function with a high degree of professional ethics and integrity.

Ability to apply legal knowledge and insight to all parts of the business.

Requirements:

JD from an accredited School of Law.

License to practice law from a state Bar Association and eligibility for in-house exemption.

At least 2-5 years of legal experience, with a portion of that as in-house corporate counsel in a business environment or nationally prominent law firm.

Experience in working with applicable laws and regulations, with an emphasis on FDA, Compliance (U.S. and Global) and Commercial Contract Law and unfair competition law.
Strongly Preferred:
- Knowledge of contracting laws, litigation and/or employment law.

Knowledge of supplier agreements.

Excellent knowledge and understanding of Contracts.

Demonstrated ability to create legal, defensive, or proactive strategies and to negotiate business transactions.

Disclosure as required by applicable law, the annual salary range for this position is 90,000 to 150,000. The actual compensation may vary based on geographic location, work experience, education and skill level. The salary range is CONMED’s good faith belief at the time of this posting.
