The Team:
The Legal team supports Datadog's rapid growth by providing a wide range of legal services across a highly dynamic technology company, from driving new business via contracts and compliance efforts, to protecting Datadog's intellectual property. Datadog's Legal team works with virtually every team across the organization, from engineering to product to marketing.
The Opportunity:
Datadog is looking for an experienced and versatile Contracts Manager to join its expanding Legal team. The Contracts Manager will be responsible for authoring, reviewing and negotiating a wide range of vendor contracts, as well as supporting the continued build out of contract review and management-related systems and process adoption and managing the administrative aspects of Datadog Legal’s buy-side commercial practice. This role will report to the Associate General Counsel, Commercial & Litigation, but will work closely with other Datadogs within and outside the Legal Department.
You Will:
Work closely with the Legal Team (particularly the Senior Contracts Managers) and serve as a contact and collaboration point for the Procurement team and other internal stakeholders across the business to support vendor and other supplier and service provider agreements from intake through execution to end-of-life.
Review, draft and negotiate confidentiality and nondisclosure agreements, office operations contracts and other documentation, contract services agreements, professional services and consulting agreements, hotel and events contracts, marketing documents, equipment purchase/rental and maintenance agreements, end user license agreements, technology product and service agreements (including data security terms), software license agreements, SaaS agreements, and related statements of work, ordering documents and amendments.
Work collaboratively with the Legal team, the Procurement team and business stakeholders to identify gaps between proposed contract terms and identified business requirements.
Coordinate agreement and vendor reviews with the Privacy and Security teams to balance and monitor vendor risk.
Respond to inquiries regarding terms in existing contracts and assist stakeholders in understanding contract provisions.
Contribute to the development, improvement and maintenance of appropriate contract templates.
Support the ongoing development of negotiation playbooks and self-help stakeholder resources to triage and process high-volume agreements.
Work with the LegalOps sub-team of the Legal Department to help support the Department’s use of technology tools.
Support the implementation of contracting technology (tools such as CLM or AI assisted review).
Run and analyze data visualizations as appropriate to inform improvements and the future directions of the vendor contracts processes.
Initiate and participate in various projects and identify opportunities to support department and company goals and requirements.
Provide such other administrative support to the Legal Department as may be required.
You Are:
A contracts and legal operations professional with at least 3-5 years of relevant experience, ideally including in connection with SaaS business and contract management systems.
Experienced in negotiating a broad range of agreements, with a working knowledge of data privacy and security issues related to technology, benefits, marketing, supplier and other agreements.
Skilled at analyzing, synthesizing, explaining and negotiating legal terms.
Experienced in self-service contracts and resources, training materials/playbooks and related workflow processes and platforms.
Organized, process-driven and resourceful with an attention to detail, the skill and desire to learn new things and an aptitude for/interest in technology.
A strong written and verbal communicator, with excellent interpersonal skills and a demonstrated ability to operate effectively across functions and in stressful situations.
Able to work independently with little guidance, but also with an understanding of when matters need escalation within or outside the Legal team.
Flexible and eager to work in a fast-paced environment and meet tight deadlines, with an attitude that no task is too big or too small.
