What You’ll Do
The Corporate Counsel position provides strategic direction to ZAGG's CEO and CFO, as well as tactical support to ZAGG's product development and distribution, business development, HR, and finance teams for the purpose of identifying and mitigating risk, as well as improving business outcomes from contractual negotiations with distributors, partners, and vendors. The ideal candidate is a strategic leader who has prior legal experience across various areas of practice including corporate law, HR, data privacy/security, trademark and copyright law and contract law.
You will:
- Structure, draft and negotiate a variety of agreements including sales, supplier, license, non-disclosure and other commercial agreements
- Track document approvals and signature process to ensure that agreements are properly executed in compliance with company controls and policies
- Develop and implement company policy
- Manage product compliance projects by collaboratively working with cross-functional teams to ensure compliance with domestic and international laws
- Manage risk, including negotiating and securing commercial insurance
- Managing regulatory matters
- Support human resource department on special projects
- Managing outside counsel
- Managing legal department budget
- Develop and present company-wide trainings as applicable for a variety of ethical and legal issues
- Provide review and approvals for products and associated materials to ensure compliance with applicable laws
- Manage, analyze and enforce intellectual property rights
- Maintain an in-depth knowledge of company systems, client operations, products, and needs of the business
What You’ll Need to be Successful
- 5+ years relevant post law school experience in legal capacity
- Juris Doctor degree from accredited law school
- License to practice law in at least one state
- Experience with contract structure, drafting and negotiations
- Excellent verbal and written communication
- Strategic Negotiation
- Excellent judgment and attention to detail
- Ability to work collaboratively
- Ability to develop and provide creative and thoughtful solutions
- Ability to analyze complex issues and reach a quick resolution
- Ability to prioritize workload and perform multiple tasks under tight deadlines
- Ability to handle sensitive and confidential information
- Ability to work autonomously, requiring little supervision or direction
- Excellent business judgement and well-developed problem-solving abilities
- Ability to listen, provide influence and counsel
- Proficiency in Microsoft Office Suites
Preferred Qualifications
- JD/MBA
- Experience in mergers and acquisitions
- Experience with contractual law
- Experience in intellectual property including patents, trademarks and licensing
- Experience with product compliance laws and management
- Experience with brand protection strategy and solutions
- Experience in Risk Management
- Experience with domestic and international trade law
- Established relationships with outside business, legal and government resources
