We are a nonprofit, donor-supported organization that has raised and invested billions of dollars to help develop cystic fibrosis therapies that have changed the lives of people with this disease. Nearly every CF medicine available today was made possible because of Foundation support.
POSITION SUMMARY:
The Counsel is responsible for providing legal advice and guidance to the CF Foundation on an array of legal, policy, ethical and reputational issues. The Counsel will support the work of the Foundation through facilitating the legal and ethical pursuit of its objectives, proactively managing risk to the Foundation through policy development, education and enforcement and risk assessment and management. This is a hybrid role and requires 2-3 days per week in the Bethesda office.
ESSENTIAL DUTIES AND RESPONSIBILITIES:
  • Provide general legal advice to the CF Foundation, Legal department, and Chief Legal Officer.
  • Provide legal counsel and support on contracts, including creating templates, negotiating terms, and drafting and reviewing contracts. Contracts include master services agreements, professional and consulting services agreements, event agreements, gift and other fundraising agreements, license agreements, trademark agreements, sponsorship agreements, leases and subleases, software as a service (SAAS) agreements, grant agreements and other research awards, confidentiality agreements, material transfer agreements, amendments, and other agreements as may be required from time to time.
  • Provide legal counsel and support on nonprofit fundraising, including individual and corporate donations, estate planning, and other areas.
  • Provide legal counsel and support on the Foundation’s chapter activities, including fundraising events and community engagement.
  • Provide subject-matter expertise to the CF Foundation on the following areas: contracts, fundraising, chapter event and community activities, policies, as well as general legal advice and other areas as appropriate.
  • Provide subject-matter expertise on specific Foundation-wide policies and procedures, including developing, updating, and interpreting policies.
  • Develop, update, and deliver trainings for Foundation employees and stakeholders.
  • Contribute to the development and implementation of Legal department strategy and projects.
  • Perform other legal work and research as requested by the CF Foundation’s Chief Legal Officer.
KNOWLEDGE, SKILLS AND ABILITIES REQUIRED:
  • This position requires a minimum of 5 years of experience for the Counsel role. Experience in contracts law as well as providing legal counsel on fundraising efforts and corporate events preferred.
  • Juris Doctor from an American Bar Association accredited law school.
  • Experience with a nonprofit, governmental organization, or an Am Law 200 law firm preferred.
  • Must be currently licensed to practice law and able to practice law as in-house counsel for a company headquartered in Maryland. See the Annotated Code of Maryland, Business Occupations and Profession §10-206 (d).
  • Sophisticated negotiator with strong business acumen.
  • Ability to build rapport, trust and strong relationships with colleagues and key stakeholders in a highly collaborative environment.
  • Skilled at anticipating issues and solving complex, nuanced problems in a manner that meets objectives.
  • Excellent written and verbal communication skills.
  • Demonstrates integrity and a commitment to the CF Foundation’s core values and its commitment to equity, racial justice, diversity, and inclusion.
REPORTING RELATIONSHIPS:
  • Reports to Senior Vice President, Chief Legal Officer. No direct reports.
  • Works closely with Contracts and Vendor Management staff.
WORKING CONDITIONS:
  • Normal office environment with little exposure to excessive noise, dust, and temperature.
  • No heavy lifting required.
  • Periodic travel (e.g., 6x/yr.) to conferences and meetings, as necessary.
