Summary
The Legal Counsel provides comprehensive legal support across the organization, ensuring compliance with applicable laws and regulations while mitigating risk. This role advises on corporate governance, commercial agreements, regulatory matters, and other legal issues to support the company’s strategic objectives.
Responsibilities
Provide legal advice and guidance on a wide range of corporate, commercial, and regulatory matters.
Draft, review, and negotiate contracts, including vendor agreements, NDAs, customer contracts, and partnership agreements.
Ensure compliance with applicable laws and regulations, including labor laws, data protection, and industry-specific regulations.
Support corporate governance activities, including board meetings, shareholder resolutions, and statutory filings.
Assist with mergers, acquisitions, and other corporate transactions, including due diligence and post-acquisition integration.
Manage legal disputes, litigation, and regulatory investigations in collaboration with external counsel.
Develop and implement internal policies, procedures, and training to ensure legal compliance across the organization.
Monitor changes in legal and regulatory requirements and proactively address potential impacts on the organization.
Collaborate with cross-functional teams, including finance, HR, and operations, to provide legal support on business initiatives.
Build and maintain relationships with external counsel, regulators, and key stakeholders.
Desired skills and competencies
Juris Doctor (JD) degree from an accredited law school and active bar membership in good standing.
3-5 years of experience as a practicing attorney, with at least 2 years in-house or advising corporate clients.
Strong knowledge of corporate law, contract law, and regulatory compliance.
Experience with mergers and acquisitions, corporate governance, and commercial transactions.
Excellent drafting, negotiation, and analytical skills.
Ability to balance legal risks with business objectives in a fast-paced environment.
Strong communication and interpersonal skills, with the ability to work effectively across all levels of the organization.
Experience in a global or multi-jurisdictional environment is a plus.
High ethical standards and sound judgment in handling sensitive and confidential information.
