The Deputy General Counsel is a key member of the Legal and Corporate Compliance team and will report to the General Counsel. He or she will assist and partner with the General Counsel on a daily basis to represent the legal interests of the company. He or she will work closely with business stakeholders around the company and will be responsible for management and oversight of the Company's commercial and corporate activities, including commercial agreements, corporate governance, securities, M&A, and management of corporate subsidiaries. The successful candidate will be able to adapt to rapidly changing priorities and business needs and comfortable being asked to advise on general matters that might not fit squarely within his or her area of expertise.
What you'll be doing:
- Provide the highest-quality legal advice to the General Counsel, CEO, CFO and strategic business partners on a broad range of commercial and corporate issues, including, but not limited to, commercial contracts, strategic transactions, corporate governance, securities, M&A, and management of corporate subsidiaries, as well as company stock plan administration and public reporting requirements.
- Draft, revise, and negotiate a variety of strategic, high-value commercial contracts, including: services agreements, vendor agreements, data protection agreements, data sharing agreements, non-disclosure agreements, intellectual property agreements, and financing documentation.
- Enhance the company's contracting processes to enable the effective and efficient drafting, reviewing, and negotiating of agreements.
- Assist in the supervision, professional development and training of the Legal and Compliance Department's attorneys and staff.
- In the absence of the General Counsel, represent the General Counsel and providing support and guidance to senior management and strategic business partners.
- Perform other duties as assigned, which might include real estate and litigation matters.
What we expect from you:
- 10+ years of legal experience practicing corporate law, preferably with a combination of law firm and in-house counsel experience advising fast-paced health tech or healthcare entities through various stages of growth.
- Substantial experience negotiating complex transactions, strategic commercial agreements, and intellectual property licensing agreements.
- Demonstrated leadership, managerial and interpersonal skills among a distributed team. Ability to communicate effectively with lawyers and non-lawyers alike, with experience working with executive leadership.
- Data privacy, employment and compliance (ERISA, HIPAA, GDPR) experience a plus.
- Ability to think and execute both strategically and tactically in a fast-paced environment.
- Excellent judgment and proven experience analyzing risks and making risk determinations.
- Participate as a team player in all phases of the organization; remain open and responsive to change.
- Maintain strict confidentiality of personnel data, proprietary information, and sensitive materials as required.
- Exceptional organizational, project management, and prioritization skills.
- Outstanding written and oral communications skills.
- Experience scaling legal processes and policies for a rapidly growing organization.
The target salary range for this position is $197,200 - $269,850, and is part of a competitive total rewards package including stock options, benefits, and incentive pay for eligible roles. Individual pay may vary from the target range and is determined by a number of factors including experience, location, internal pay equity, and other relevant business considerations. We review all employee pay and compensation programs annually at minimum to ensure competitive and fair pay.
