Director of Corporate Development

HCSS, a Thoma Bravo portfolio company, is seeking a Director of Corporate Development to further accelerate our growth. We are a market leader in heavy civil construction software and technology solutions. Reporting to the CFO, the Director of Corporate Development plays a critical role in the Company’s growth plan as we execute our buy, build, partner strategy. The Director of Corporate Development will lead all aspects of the inorganic growth strategy through the identification, assessment, and execution of potential mergers and acquisitions. A successful candidate will have the capability to develop relationships with and work cross-functionally with all aspects of the business and with our primary financial sponsor, Thoma Bravo.

Duties/Responsibilities:

• Sourcing and analyzing acquisition / partnership opportunities which align to the company’s strategies;
• Leading due diligence activities with M&A targets in cooperation with our private equity partner;
• Partner with the executive team to identify and prioritize strategic initiatives, shape strategy, and identify areas of M&A focus;
• Lead research and analysis of key strategic markets to understand and articulate market trends, competitive landscape, and areas of opportunity.
• Extensive financial modeling of complex deal structures and potential return scenarios;
• Preparing and presenting opportunities for review by the executive management team & board of directors;
• Structuring and negotiating acquisitions;
• Partner with FP&A team to model opportunities and create pro-forma views of acquisition opportunities;
• Developing and managing post-merger integration activities across the entire organization;
• Manage investment banking and other industry relationships, in order to actively track the construction technology software space, and to source acquisition opportunities;
• Lead team in the development of additional ad hoc analyses and financial modeling

Required skills/abilities:

• BS/BA in Business, Engineering or related degree; MBA from a top tier program a plus;
• Minimum of 3 years of experience in the technology industry required (software preferred);
• 5-7+ years of experience in strategy consulting, investment banking, venture capital, private equity and/or corporate development preferred;
• Substantial track record of opportunity sourcing and transaction closing experience
• Demonstrated strong project planning, deal ownership and cross-functional team management and participation skills;
• Strong leadership skills and ability to work both individually and manage/ lead team projects
• Strong analytical and financial skills to work on complex financial transactions;
• Superior interpersonal skills – ability to develop relationships with senior executives internally and externally;
• Superior written / verbal communication skills, and quantitative and analytical skills;
• Experience with technology and software industry; technical acumen, interest and ability to understand technical and financial concepts quickly;
• Ability to travel as needed (estimated <25% of time)
