Project Assistant

We are looking for a Project Assistant to join the Corporate practice group in the Atlanta office.

KEY RESPONSIBILITIES:

  • Provide general support to the Corporate team. 
  • Draft and submit corporate filings, including formations, incorporations, dissolutions, qualifications, name changes, assumed names, reinstatements, mergers, conversions, etc. 
  • Prepare signature packets and/or closing binders, documents, and indexes.  
  • Order lien searches and prepare summary memos of search results.
  • Run intellectual property searches and prepare summary memos of search results. 
  • Prepare and print stock certificates. 
  • Coordinate with vendors and conduct independent research to determine requirements for various types of corporate filings. 
  • Draft and file applications for Employer Identification Numbers (EINs). 
  • Apply for EDGAR access using form documents and power of attorneys 
  • Draft and file Form D and Blue Sky filings.
  • Maintain internal organization of closing file and documents. 
  • Build, distribute and maintain paper and electronic closing sets.
  • Prepare and maintain closing checklists and critical dates lists.
  • Prepare and review UCC Financing Statements.
  • Follow established client and team guidelines for matter management.
  • Keep accurate time records. 
  • Work efficiently in a heavily computer-based environment.
  • Strong, concise oral and written communication skills. 
  • Ability to organize, prioritize, and complete tasks under strict time constraints. 

QUALIFICATIONS:

  • Bachelor’s Degree  
  • Strong prioritization, organizational, and communication skills   
  • Ability to exhibit good judgement   
  • Proficient in Microsoft Office Suite (Word, Excel, PowerPoint, Outlook)  
  • Proficient in Adobe Acrobat Professional     

OTHER:

  • Able to work overtime, including weekends and holidays with little to no advance notice.
