CONTEXT
Our markets are changing rapidly and so are the needs of our clients. As we evolve from being a predominantly print based publisher into a truly global, brand focused digital media and entertainment company, our routes to market are becoming more diverse and more complex. This is leading to an increase in the number of different sales models we must maintain and a growth in the complexity of deals we are making. At the same time, this is taking place against a backdrop of rapid change in the regulatory context for digital advertising, marketing, copyright and data laws. In order to respond to these changes, and because we cannot realise the opportunities of the digital marketplace without also managing the risks that are inherent within it, we have created a new and globally integrated approach to legal advice combining skills across all legal disciplines, with a particular focus on:
  • Content and Media Law
  • Digital, Revenue, and Consumer
  • Employment and Compliance
  • Corporate and Regulatory
POSITION OVERVIEW
The Legal Counsel, Revenue will develop and deliver advice to our US-based Revenue teams with a particular focus on media and digital advertising deals, custom and branded content and services deals, and consumer revenue generating transactions and regulatory compliance.
They will be asked to support the delivery of legal advice and support to our advertising and consumer sales, revenue, marketing, advertising operations, and consumer leaders. More specifically, the purpose of this role is to help our Revenue teams deliver their deals, resolve issues arising from these, advise on compliance related to consumer and revenue matters and build long term client relationships.
  • Support the commercial team on legal issues relating to the sale of advertising, with a focus on media and digital advertising and custom and branded content and services, across digital, print, video, social and experiential, including, for example, agreements for traditional and programmatic advertising, agreements relating to affiliate marketing (both advertiser and vendor terms), merchandising and advertising trade, advertising sales representative deals, sweepstakes and contests, non-disclosure agreements, sponsorships, events/activations, product integration and editorial sponsorships.
  • Support the development of standard policies, processes, tools, and documents for revenue generating activities and work with commercial colleagues to ensure that agreed workflows and processes are being followed.
  • Draft clear and consistent templates and standard terms and conditions for new media, custom and branded initiatives.
  • Negotiate standard terms with advertising agencies.
  • Support the consumer revenue teams on legal issues related to marketing and consumer-facing revenue producing activities, including, for example, affiliate deals, subscription products and related consumer offer flows, and e-commerce.
  • Independently negotiate new deals and prepare appropriate documentation for the same.
  • Advise the commercial and consumer revenue teams on advertising and consumer marketing law and ensure the teams understand core legal, data privacy, IP, FTC and State AG consumer protection and auto-renewal laws and concepts that are relevant to their strategy and commercial decision-making process.
  • Advise on regulatory issues related to advertising compliance, including issues related to election laws, vice advertising, pharmaceutical advertising and other regulated areas/industries.
  • Provide training and advice regarding Federal Trade Commission and other disclosure requirements, including requirements applicable to social media influencers.
  • Review and advise on consumer journey and flow to ensure compliance with applicable consumer protection, auto-renew and privacy laws rules and regulations.
  • Interpret and advise on Conde Nast’s Global Advertising Guidelines and their application to specific proposed campaigns.
  • Liaise and coordinate with colleagues handling talent deals for custom and branded content and events and develop workflows to maximize communication, alignment, and efficiency.
  • Work closely with our Data Privacy lawyers on issues relating to data use.
  • Support the development of best practice approach to advertising and marketing law issues across the commercial team, and to marketing and consumer protection law issues across the consumer revenue teams, so as to ensure efficient and cost-effective legal service delivery.
  • Manage outside counsel where appropriate and necessary.
QUALIFICATIONS, SKILLS, & EXPERIENCE
  • Legally qualified in the U.S. with ideally 3-5 years relevant experience.
  • Strong experience in advertising and marketing law gained either in private practice or in an in-house role in a similar sector to CN, including a thorough knowledge of applicable marketing codes and best practices and an awareness of emerging trends, regulation and best practice in offline and online advertising, and social and digital media.
  • Ability to work independently and experience advising senior stakeholders.
  • Ability to present legal advice in a pragmatic, problem solving and commercial fashion.
  • Confident, self-starter who welcomes the opportunity presented by being the first holder of this role.
  • Positive “can do” attitude and willingness to work flexibly and as part of a new and evolving team that is itself operating in a business and sector going through change.
REPORTING LINE
This role will report to the Senior Counsel, Revenue.

The Conde Nast Legal & Policy team is led by the General Counsel and is led from our International HQs in London and New York. Our team also comprises our Legal teams based in our various markets around the world. We are also supported by a network of outside counsel where necessary.
