Seeking an energetic and skilled attorney to support the Commercial, Product, and Technology functions at Gracenote on a Global basis. Attorney should have a minimum of 6+ years of experience with a proven track record in structuring and negotiating large commercial contracts. The position will report directly to the General Counsel of Gracenote. This is a remote opportunity with a Mid-West location preference.
Responsibilities:- Drafting, reviewing, marking up, and negotiating commercial contracts in the metadata licensing space and software space, including data licenses, software licenses, master services agreements, statements of work, service level agreements, and technology and professional services agreements.
- Supporting and acting as a trusted partner to Gracenote’s Commercial, Product, Strategy, Operations, and Technology organizations in commercial contracting matters.
- Providing legal advice on Product initiatives, including legal vetting of new product offerings and features.
- Providing legal advice and support for strategic initiatives, process improvements, and contract analysis (including collaborating cross-functionally with Gracenote’s parent company Nielsen’s TechOps, Procurement, Privacy, Cybersecurity, Intellectual Property, M&A, and Commercial Legal colleagues).
- Supporting internal business clients and the Gracenote Commercial organization in negotiating deliverables, services scope, service levels, reps and warranties, indemnities and risk allocation, and other commercial terms.
- Creating contract templates for use by the business and assisting in policy, process and procedures design.
- Managing litigation and dispute resolution matters on behalf of Gracenote.
Skills:- Ability to structure, draft, and negotiate complex data licensing and commercial arrangements.
- Strong project management and negotiation skills, including ability to encourage, motivate and influence at all levels of the organization to work effectively within a globally distributed team and a fast-paced business environment.
- Strong communication skills in person, in groups, over video and teleconference, over email and in more formal documentation.
- Excellent written and oral communication skills, including drafting and communicating legal issues and solutions in a clear and concise manner.
- Decisiveness and ability to confidently make quick decisions.
- Ability to be resourceful and solutions-oriented, to “roll up your sleeves” and execute.
- Ability to collaborate and work with others across multiple legal and business teams.
- Background in content licensing or data licensing preferred.
- International/Global Contracts experience desired but not required

A reasonable estimate of salary range for a new employee to be offered this role would be between $66,000 - $225,000, which would be adjusted based on each employee's geographic location. The position of each employee within a compensation range at Nielsen is dependent on several individual circumstances, such as experience, training, certifications, and other business requirements/needs.
