Legal Counsel

Summary

We are currently seeking a Legal Counsel to join our team in Taipei. In this role, you will be responsible for delivering comprehensive legal and compliance support to various business functions on a global level. You will actively engage in offshore projects and collaborate closely with the management team and external counsels. Your primary focus will be serving as a valuable business enabler, overseeing contract reviews and providing legal advice to facilitate the company's rapid growth.

Responsibilities

1. Draft, review, negotiate and advise on a wide range of contracts (majorly in English) such as investment, JV, shareholders, licensing, payment, employment, services agreements, as well as other legal documents arising from the day-to-day operation of the business.

2. Identify, research, develop, and analyze company policies, regulatory change, compliance requirements, and general legal and risk management issues.

3. Manage external counsel engagements and liaise with them on a project or regulatory basis.

4. Provide research on and coordination of establishing operations in new territories and markets.

5. Assist in corporate secretarial and corporate governance matters for the company and its overseas subsidiaries or affiliates.

6. Conduct due diligence during the investment or fundraising process.

7. Manage the intellectual property rights of the company.

8. Handle any dispute or litigation arising from the business operation.

Qualifications

1. Licensed to practice law.

2. Corporate lawyer with 5 years + experience of working in a reputable law firm.

3. LL.M. degree from a recognized university in a Common Law country. US/UK

4. Proficiency in spoken and written English.

5. Ability to work independently in a fast-paced environment with good judgment, maturity, and flexibility.

6. Attention to details and good interpersonal skills.

7. Well-organized and able to manage and execute numerous projects simultaneously in a timely manner.
