Due to this ongoing growth, Xebia is looking for a Senior Legal Counsel to expand their legal team (9fte globally) in the United States of America.

Main duties include:

For the legal responsibilities in the US, the legal team is now supported by a US-based attorneys' firm, on all kinds of matters ranging from corporate, employment, competition, trademark, and other legal matters where their input is required. The day-to-day review of contracts and handling of other daily legal matters is done by the in-house legal team of Xebia based in the Netherlands and India. Due to the rapid growth of the Xebia company and further expected expansion in the coming years in particular in the US, Xebia is now looking for the positioning of a permanent lawyer in the US to support Xebia's legal team and take responsibilities that are now still being covered by the external attorneys' firm.

The lawyer, therefore, needs to have sufficient experience, legal knowledge, and understanding of the US market and its different state laws and has to be a self-starter with a lot of ambition and initiative to make this new role a success. You will get all the support from the global legal team and the Chief Legal Officer to whom you will directly report and with whom you will be working closely in particular in the start-up phase of this new position.

You shall be actively required for the review and conclusion of contracts in accordance with company policies, procedures, and applicable laws. You will focus on the review and negotiation of agreements with the Company's clients, suppliers, and subcontractors, including non-disclosure agreements, services agreements, and other agreements central to the commercial operations of the Company, while proactively identifying and mitigating possible legal risks and violations.

Other duties will include consulting and leading the conclusion of all corporate legal processes with regard to compliance issues, employment issues, transactions, and partnerships.


You will directly communicate with clients, colleagues, and others involved in legal matters. Conduct research and analysis of legal problems. Monitor legal risk in the documentation and interpret laws, rulings, and regulations for the business, giving guidance on the acceptable assumption of risk.


  • Proactively support the set-up of this new legal role in the US.
  • Extend legal support to the internal business team; legally reviewing and negotiating various IT agreements (MSA, NDA, DPA, etc.) aligned with the company's commercial processes and ensuring compliance with US central, state, legal, and organizational requirements with clients/vendors/partners.
  • Identify risks and issues; suggest alternative solutions.
  • Prepare and disseminate information regarding contract summaries, status, compliance, and modifications, such as but not limited to employment contracts in relation to US state law, etc.
  • Provide timely reports on contract metrics and complex legal issues.
  • Guide management on regulatory and compliance issues to ensure compliance with legal regulations.
  • Record keeping of all agreements, and addenda related to Clients and Vendors.
  • Supporting contract management processes using various tools including AI.

Skills, Knowledge & Experience:


  • Profound legal knowledge of IT contracts and specifications. Skilled in the negotiation and establishment of contractual arrangements.
  • Solid analytical skills and creative problem-solving ability with an appreciation for striking a balance between business and legal objectives.
  • Hands-on with excellent organizational skills and attention to detail and fully comfortable and aligned with Xebia's 4 values and 4 business principles.
  • Customer and business focus: Candidates must be pragmatic, high-energy professionals, with personal and professional self-confidence.
  • Juris Doctor degree (JD) or similar LL.B. / B.A. LL.B., authorized to practice law in the U.S.
  • Minimum of 10 years of US experience in IT contracts management with experience in international contracting and varied contractual arrangements.
  • Must have a good understanding of commercial IT contracting terms, conditions/practices, Employment laws, and legal implications applicable in the North American Market (especially the United States).
  • Must have a strong ability to organize assigned workload and multitask to deliver service at required service levels meeting stakeholders' expectations.
  • Must be proficient in Word, PowerPoint, Excel, and Outlook.
  • Excellent written and oral communication skills are required.
