Senior Vice President, Legal Counsel

Our headquarters are located in Palo Alto, CA. All positions are hybrid with regional offices located throughout the United States.

The Senior Vice President, Legal Counsel is responsible for providing legal counsel and oversight on all legal matters, including, but not limited to, corporate governance, contracts, intellectual property, compliance, privacy/data protection, and employment law.

Qualifications

• Juris Doctor degree from an accredited law school.
  
• Active membership and good standing with at least one U.S. state bar (preferably California).
• 8+ years of experience in an attorney capacity, preferably in a medical device/biotechnology/life sciences industry support role.
• Experience in advising senior leadership in legal matters.
• Experience in drafting and negotiating complex contracts.
• Broad knowledge and understanding of healthcare regulations, including but not limited to HIPAA, the Stark law, and anti-kickback regulations.
• Proven ability to build effective relationships with cross-functional teams advising on complex legal issues.
• Strong organizational and time management skills that will enable productive work on multiple projects in parallel.
• Experience with healthcare regulatory agencies.

Responsibilities

• Provide legal counsel and guidance to senior management on a wide range of legal and regulatory matters.
• Manage outside legal counsel relationships and oversee legal matters related to corporate governance, securities, and regulatory compliance.
• Draft, review, and negotiate a variety of contracts and agreements, including merger and acquisition (M&A) documents, joint venture agreements, and commercial contracts.
• Ensure compliance with applicable laws and regulations, including securities laws and regulations.
  
• Monitor and report on legal and regulatory developments that may impact the company's operations.
