What you’ll do
We are looking for an outstanding lawyer with 5-10 years of legal experience to join our legal team. This position will be part of the US legal team where you will lead and support PROS go-to-market teams, providing PROS commercial and product teams with legal advice, and identifying and mitigating legal risks related to all customer contracting lifecycle matters.
You will report to PROS Associate General Counsel - Commercial, and work with a wider global team across disciplines to develop a thorough understanding of PROS business and devise practical legal solutions to allow PROS business leaders to move quickly while ensuring compliance with applicable laws, and company policies and practices.
Responsibilities:

Commercial Contracting - Supporting the entire customer contracting lifecycle, including drafting, reviewing and negotiating technology transactions through post-signature management, in a fast-paced environment to ensure timely execution of agreements consistent with applicable laws and business objectives. Providing pragmatic judgment and advice, particularly in determining the significance of legal matters and effectively measuring and balancing legal and business risks to solve day-to-day issues across all areas applicable to PROS commercial operations, including data privacy, intellectual property, data security and compliance

Product Counsel - Developing a strong understanding of PROS product functionality and serving as a business enabler for our business and technology leaders on legal risks associated with PROS product development lifecycle, allowing them to move quickly while remaining within legal requirements

Leadership - Driving legal departmental strategic initiatives, including internal client self-service, playbooks, templates, trainings, and technologies to help PROS legal team increase efficiencies and scale in support of PROS business needs. Take initiative, embrace ambiguity, and think outside of the box when confronting new issues and pursuing novel approaches to old problems

Compliance - Continuously improving processes, policies, procedures, and templates to ensure compliance with changing regulatory requirements applicable to PROS US commercial operations, by monitoring trends, anticipating potential challenges, and developing mitigation strategies in advance

Dispute Resolution - Anticipating and handling commercial legal disputes and inquiries in the US in consultation with outside counsel, including advising on strategy.
Who will make a great fit
We’re looking for candidates who have a combination of the following achievements, skill sets and behaviors to be successful in this role:

A JD with 5-10 years of corporate/transactional experience at either a large law firm and/or enterprise software company, with direct experience drafting and negotiating complex SaaS technology transactional documents

Extensive experience drafting and negotiating commercial contracts, with a proven talent for non-confrontational negotiations

Understanding of data privacy laws, including GDPR and US state laws

Strong attention to detail, willingness to take the initiative, find solutions, make recommendations, co-ordinate internally and implement change

Exceptional ability to consistently deliver creative, thoughtful, and business-focused results that balance growth and risk in fast paced customer facing transactions

Strong business acumen, adaptable, comfortable with ambiguity and risk and excited by dynamic change and problem solving

Ability to address complex issues in creative ways, adept at partnering with sales leadership to develop win-win solutions, always keeping the customer in mind
