What You'll Bring:

  • JD and admission in good standing to a state bar

  • At least 15 years of relevant U.S. litigation experience, including a combination of top-tier law firm, government and/or in-house roles of increasing responsibility. Litigation experience from a federal or state law enforcement or regulatory agency is advantageous.

  • Trial experience and deep knowledge and experience leading the resolution of complex legal disputes, regulatory situations and government investigations.

  • Experience navigating governance and regulatory issues financial services firms encounter and working closely with international, federal or state regulators and enforcement agencies (e.g., CFPB, SEC, FTC).

  • Experience in the financial services sector is preferred. The ideal candidate will have worked within a matrixed environment requiring an understanding of communicating with and influencing diverse stakeholders and business leaders.

  • Experience leading and developing teams of litigators, investigators and other professionals, ideally at an organization of scale and complexity, as well as experience managing outside counsel cost-effectively and efficiently.

  • Able to balance pragmatism and in-depth analysis. Delivers flexible and business-oriented solutions.

  • Self-motivated with high expectations for performance and accountability for actions and results.

  • Efficient and able to prioritize work under pressure in a fast-paced and high-volume workload environment.

Impact You'll Make:

  • The Deputy General Counsel for Litigation and Enforcement will have dual responsibilities for the overall management of litigation brought by or against the company anywhere in the world as well as managing all investigations, including government enforcement activity. They will anticipate and mitigate risk, and be a strong partner to the business, proactively enhancing overall effectiveness through close collaboration and knowledge sharing. Given the broad and strategic nature of this role, it will require a highly analytical, insightful, seasoned legal leader with a successful track record within a complex and regulated organization of scale. They will have experience supporting and working with a senior management team, as well as with multiple functions within an organization. Critical to this person’s success will be their ability to “hit the ground running,” focusing on critical priorities and earning the confidence and trust of the Chief Legal Officer and her team.

  • Formulate, drive, and lead the Litigation and Enforcement strategy for TransUnion across the enterprise. Set a strategic vision for the evolution of the Litigation and Enforcement function that aligns with the company’s growth, and proactively execute policies, practices, and decisions to ensure the company is protected.

  • Advise the Chief Legal Officer, senior executives, and Board of Directors on all existing, potential, and future litigation, investigations, enforcement, risk, and regulatory exposure, including strategies for minimizing adverse outcomes and reducing TransUnion’s risk profile.

  • Oversee all phases of Litigation and Enforcement matters, including pre-litigation disputes, fact investigation, strategy development, discovery, motion practice, mediation, settlement negotiations, and trials and/or appeals. Serve as a principal interface with government and regulators on major enforcement matters.

  • Oversee government and internal investigations (including but not limited to fair employment practices, conflicts of interest, and after-action reviews of business decisions). Collaborate with the corporate functions to identify, mitigate, and reduce litigation risk.

  • Interact with federal, state and local regulatory agencies and enforcement agencies, and work with the Risk and Compliance function to manage and respond to regulatory inquiries and examinations, prepare/approve regulatory filings, and ensure compliance with relevant laws and regulations.

  • Anticipate issues and evaluate risks strategically; identify proactive solutions that will eliminate or mitigate risks. Ensure that material litigation and investigation strategy has roadmaps, is appropriately resourced internally, and has well-managed budgets and work plans to ensure a greater likelihood of expected outcomes. Work closely with senior executives and other key stakeholders to analyze exposures and set appropriate reserves.

  • Provide thought leadership, strategic consultation, and innovative solutions regarding Litigation and Enforcement challenges and opportunities to influence and shape key business decisions. Foster strong working relationships with the business, balancing legal risk with business necessities.

  • Develop and implement appropriate strategic, metric-driven plans, and schedules and budgets for the team.

  • Serve as a key liaison and interface with the Chief Legal Officer’s team to align legal with other functions around the business, such as Human Resources, Data and Technology, and Finance and increase effectiveness across the entire organization.

  • Serve as a facilitator and communicator on the Chief Legal Officer’s behalf to ensure that teambuilding, professional development, and other elements promoting a culture of growth and accountability are part of the day-to-day activities of the department.

  • Manage early warning processes to detect and mitigate exposure to emerging legal theories and allegations.

  • Assist the Chief Legal Officer in identifying the overall needs of the team, including necessary technology support for alternative legal services providers, marshaling appropriate resources, and ensuring that priorities are seen through to conclusion. Oversee and establish programs and strategies relating to e-discovery and litigation-related document retention.

  • Analyze litigation and regulatory trends, changes and court decisions that may impact the company, and advise key stakeholders, including senior executives and implement mitigation strategies when necessary.

  • Oversee all litigation to appropriately manage exposure (financial and otherwise) to the company. When necessary, participate in trials by interacting with internal and external legal counsel regarding on-going and actual and/or potential litigation. Commence, defend, review, and resolve such litigation while minimizing adverse publicity and monetary exposure, maximizing recovery, and preserving or encouraging harmony in on-going business relationships with third parties.

  • Make strategic decisions regarding legal arguments and positions taken in connection with litigation matters as well as the optimal posture taken with respect to the regulators (e.g., CFPB, SEC, FTC.) on key issues.

  • Select, manage and coordinate outside counsel for litigation, arbitration and regulatory and internal investigations. Evaluate budget for outside counsel spend and design and implement cost cutting disciplines.

  • Manage department employees, including allocating and reviewing work, providing training, working with staff to set and achieve objectives, and guiding and advising subordinates for individual development.

  • Evaluate and weigh multiple inputs and impacts of any decision or course of action. Anticipate issues and estimate risks strategically; identify proactive solutions that will eliminate or mitigate risks.

  • Analyze new business concepts and provide legal guidance related to these concepts.

This is a hybrid position and involves regular performance of job responsibilities virtually as well as in-person at an assigned TU office location for a minimum of two days a week.

Pay Scale Information :

The U.S. base salary range for this position is $225,800.00 - $474,300.00 *The salary range for this position reflects a reasonable estimate of the range of compensation for this job. At TransUnion, actual compensation is based on careful consideration of additional factors such as (but not limited to) an individual’s education, training, work experience, job-related skill set, location, and industry knowledge, as well as the scope and responsibilities of the position and market considerations.

Regular, fulltime non-sales positions may be eligible to participate in TransUnion’s annual bonus plan. Certain positions may be also eligible for long-term incentives and other payments based on applicable company guidance and plan documents.
