The Contract and Compliance Specialist is an experienced, process-focused team member who supports the contracting process with customers and vendors. The Specialist is responsible for drafting and reviewing legal documents, including reviewing redlined suggestions from customers, vendors, legal counsel, account leadership, and subcontractors. The Specialist also supports our corp-to-corp subcontracts and vendor contracts process teams by overseeing the subcontracts drafting and review process, helping develop and update our contracts management database of key terms and flow downs, boilerplate management, and streamlining the business between our accounts and subcontractors. To fully represent Point B in the contracting process and drive the most optimal contractual outcomes, the Specialist develops and leverages a deep understanding of our mission, vision, values, culture, business model, and brand.
The Contract and Compliance Specialist also supports our flexible supply team by overseeing the subcontracting process with our accounts and subcontractors. They may also participate in our business insurance annual renewal process and additional projects as requested by the Contract and Compliance Manager.
WHAT YOU’LL GET TO DO:
Serves as initial point of contact for legal requests for Point B
Supports Point B in review of all contract matters when engaging our subcontractors and other vendors
Manages the process of signing mutual non-disclosure agreements (NDAs) with prospective subcontractors
Manages and negotiates our master subcontractor agreement (MSA) with prospective subcontractors
Creates and updates summaries of required flow downs from end-client MSAs for subcontracts, including whether additional documents or agreements are required (BAAs, NDAs, COIs, etc), documenting subcontracting specific instructions for each end-client for the Point B processes and for future reference
Manages the work order process for subcontractor onboarding between Point B and our subcontractor, including all applicable flow down and compliance issues for the applicable end-client MSA
Reviews end client MSA documents for applicable flow down for subcontractors
Determines if subcontractors need additional instructions or to assign additional agreements, such as business associate agreements, to be compliant with end client agreements
Manages the contract routing, signatures, and storage of contracts
Participates in the review of other contracts as directed by the Legal Contract and Compliance Manager
Serves as an initial point of contact for the subcontracts teams with answering business insurance questions and reviewing business insurance language in contracts
Develops the “metadata” for our contracts and makes sure executed contracts have metadata stored in our contracts management systems and other applicable processes
Creates and manages subcontracting info, documents, and templates in contracts management systems and other applicable processes
Manages and implements improvements to Point B subcontracting templates
Supports response to RFP process by filling out relevant sections of customer questionnaires
Coordinates the collection, review, and production of documents and responds to discovery requests

WHAT WE EXPECT YOU’VE ALREADY DONE:
Bachelor’s Degree
6+ years of professional business experience with 3+ years of direct contract management experience
Professional services firm experience highly preferred
1-2 years of federal and state public sector contract management including SAM reporting, RFP response, and reporting experience preferred
Strong understanding of and experience with contracts and subcontracts terms
Ability to discern applicable flow downs to subcontractors from an end-client agreement
Ability to work under pressure while navigating ambiguity and resolving conflicts
Strong written and verbal communication skills
Experience simplifying, clarifying, and advising on complex issues for internal stakeholders, and resolving issues clearly and quickly while building long term relationships
Experience working with cross-functional teams to assess needs, request clarification as needed, and provide creative, resourceful solutions
Experience building networks, cultivating relationships, and working at all levels of company management, internal customers and stakeholders, external customers, and outside counsel
Demonstrated ability to remain professional and respond appropriately in confidential situations
Demonstrated strong organizational skills that result in consistent volume and quality of output as well as the ability to manage multiple deals simultaneously in a fast-paced environment
Demonstrated ability to work accurately with close attention to detail and maintain confidentiality of sensitive information
Demonstrated ability to operate independently with limited supervision
Demonstrated ability to conduct research on a variety of topics
Experience with Contract Lifecycle Management systems such as DocuSign or other e-signature applications preferred
Proficient with Microsoft Outlook, Word, Excel and PowerPoint

COMPENSATION AND BENEFITS:
The estimated salary range for this role is $80,000 - $128,000 USD per year. This salary range is provided as required by local and state law as applicable. Individual salaries vary on a number of factors including but not limited to geography, skills, education, experience and unique qualifications where applicable.
Bonuses are awarded at Point B’s discretion and are based upon individual contributions and overall firm performance.
