Associate Corporate Counsel

ESSENTIAL DUTIES AND RESPONSIBILITIES:

• Prepare and review commercial contracts, including vendor agreements, partnership agreements, software licenses, and technology and media services agreements
• Advise on applicable data privacy laws, including state data privacy laws, and provide related input on business projects, including internal and external privacy policies and procedures
• Assist with the review and negotiation of data protection and data processing agreements
• Contribute to the ongoing improvement of training materials, document templates, internal policies and resource documents for both businesses
• Work with the marketing department to review marketing, sales and promotional materials for compliance with legal requirements
• Proactively identify legal and regulatory trends, research legal issues, and provide related advice
• Collaborate with other members of the legal department across office locations
• Collaborate with various departments to identify legal issues and assist Drake Software and TaxAct in business development initiatives
• Develop a thorough understanding of Drake Software and TaxAct’s businesses, strategies, external commercial marketplace and regulatory environment
• Analyze and formulate various strategies in a way that supports the business objectives while mitigating legal risk
• Other job duties as defined

EDUCATION AND EXPERIENCE:

• JD from an ABA accredited law school and current member in good standing of at least one state bar
• 2-5+ years of legal experience practicing with a law firm and/or corporate legal department, focusing on marketing and business transactions, preferably in the tech field
• Experience drafting and negotiating a wide variety of agreements: end-user license agreements, employment contracts, master service agreements, referral and marketing agreements, technology and media licensing agreements, purchase agreements, promotional campaigns and offers, sweepstakes, confidentiality and non-disclosure agreements, and other general business contracts
• Experience and working knowledge of advertising and consumer protection laws and regulations, including compliance with FTC and other e-commerce laws, and marketing guidelines
• First-class interpersonal skills and ability to communicate effectively with a variety of contacts, including outside attorneys, senior management, and business associates
• Ability to adapt in a fast-paced, constantly evolving environment
• Opportunity to work in office, hybrid, or remotely (up to 25% travel required)
