ESSENTIAL DUTIES AND RESPONSIBILITIES:
- Prepare and review commercial contracts, including vendor agreements, partnership agreements, software licenses, and technology and media services agreements
- Advise on applicable data privacy laws, including state data privacy laws, and provide related input on business projects, including internal and external privacy policies and procedures
- Assist with the review and negotiation of data protection and data processing agreements
- Contribute to the ongoing improvement of training materials, document templates, internal policies and resource documents for both businesses
- Work with the marketing department to review marketing, sales and promotional materials for compliance with legal requirements
- Proactively identify legal and regulatory trends, research legal issues, and provide related advice
- Collaborate with other members of the legal department across office locations
- Collaborate with various departments to identify legal issues and assist Drake Software and TaxAct in business development initiatives
- Develop a thorough understanding of Drake Software and TaxAct’s businesses, strategies, external commercial marketplace and regulatory environment
- Analyze and formulate various strategies in a way that supports the business objectives while mitigating legal risk

EDUCATION AND EXPERIENCE:
- JD from an ABA accredited law school and current member in good standing of at least one state bar
- 2-5+ years of legal experience practicing with a law firm and/or corporate legal department, focusing on marketing and business transactions, preferably in the tech field
- Experience drafting and negotiating a wide variety of agreements: end-user license agreements, employment contracts, master service agreements, referral and marketing agreements, technology and media licensing agreements, purchase agreements, promotional campaigns and offers, sweepstakes, confidentiality and non-disclosure agreements, and other general business contracts
- Experience and working knowledge of advertising and consumer protection laws and regulations, including compliance with FTC and other e-commerce laws, and marketing guidelines
- First-class interpersonal skills and ability to communicate effectively with a variety of contacts, including outside attorneys, senior management, and business associates
- Ability to adapt in a fast-paced, constantly evolving environment
- Opportunity to work in office, hybrid, or remotely (up to 25% travel required)
