This will be Forma’s first in-house counsel. We’re looking for someone who’s excited to work at a high growth company and all of the fun that comes along with it – one day might be drafting a service agreement with a Fortune 100 customer, and the next day negotiating a vendor contract and employment agreement. If you enjoy solving complex problems, thrive in a team environment, and are comfortable rolling up your sleeves, we’d love to talk.
This person will report to the VP of Finance and work closely with sales, customer success, and product leaders.
Draft, review, negotiate, and close commercial agreements including service agreements, purchase orders, partnership agreements, SLAs, DPAs, security agreements and NDAs with customers and vendors
Offer legal advice and support on matters related to employment, intellectual property, and risk mitigation
Work cross-functionally with finance, sales, product, and other departments to understand business needs and provide legal support that aligns with company objectives
Engage and manage outside counsel when necessary
JD from an accredited US college or university; active membership in a state bar
4+ years of experience developing and negotiating SaaS agreements and/or technology transactions required
Experience operating in a fast-paced environment and navigating ambiguity
Excellent analytical and communication skills that enable you to effectively support cross-functional teams, as well as external customers and partners.
Superior judgment and integrity, intellectual curiosity, innovative thinking, and ability to provide practical and solution-oriented advice
Experience working with, managing, and maintaining a CLM (contract lifecycle management)tool, such as Docusign CLM, Ironclad, Evisort, etc.
Prior experience with financial and money movement regulations is a plus
