So, what’s the role?
We are adding a Senior Corporate Counsel opportunity to our legal team! In this role, you will operate in a dynamic, fast-paced environment and must exhibit strong emotional intelligence, self-motivation and legal, interpersonal and communication skills. Reporting to the Chief Legal Officer, you will handle corporate securities and governance matters, and play a key role in other legal areas as needed, including equity and debt financings and M&A transactions. This role requires a proactive, flexible, and positive mindset and someone who is a problem-solver at their core. You will have the opportunity to focus on improving legal operations and must be comfortable working in a high-growth, startup environment. The ideal candidate is an experienced corporate lawyer with deep knowledge of public and private securities and corporate governance. Kin has a remote, US-based workplace.
A day in the life could include:
Providing legal guidance and support on a wide range of securities and corporate governance matters, including equity administration, investor relations and secondary market transactions
Assisting in the design and implementation of an enhanced control framework in anticipation of a possible IPO
Reviewing, negotiating, and drafting legal documents
Working with Kin’s board of directors, including helping prepare board meeting materials and minutes and obtaining Board approvals and consent
Helping ensure ongoing compliance with debt and equity financing agreements
Advising on potential legal risks and developing strategies to mitigate those risks
Collaborating with cross-functional teams to ensure that the company's business activities are in compliance with relevant laws and regulations
Assisting with the management of outside counsel and legal expenses
Staying up-to-date on developments in corporate and securities laws
I’ve got the skills… but do I have the necessary ones?
Juris Doctor degree from an accredited law school and admission to a state bar
5-8+ years of combined experience at a major law firm or in-house legal department of a high-growth private company with a focus on securities and corporate governance
Experience working with high-growth, private companies, particularly in the tech, fintech or insurtech sectors
Outstanding communicator with the ability to work cross-functionally
Ability to work independently and as part of a team
Experience executing projects in a complex organizational environment and the ability to work on several diverse projects at the same time
