If you're looking to join a growing company led by passionate people committed to being the best - contact us today!The Spirit of the Position:The Associate Corporate Counsel reports to the Corporate Counsel and is responsible for assisting with contract review, drafting and compliance, as well as legal corporate matters and M&A due diligence. The Associate Corporate Counsel shall also serve as a contact for external counsel and manage these relationships for matters being overseen. The Associate Corporate Counsel shall provide guidance as needed to regional management in areas such as contract compliance, insurance, licensing and permitting.The Associate Corporate Counsel provides the Corporate Counsel and General Counsel with updates and guidance on matters the attorney oversees, including being overseen. The Associate Corporate Counsel shall also provide advice and insight on a wide variety of legal-related matters, including contract language implications, acquisitions and vendor/client contract issues.The applicant for this job must be willing to work at LAZ Parking's home office in Hartford, CT.Principal Job Duties:• Drafts, reviews and negotiates a variety of documents and contracts with business partners and vendors and potential clients. Must identify key terms and conditions that impact Company liabilities, obligations and revenue.• Reviews RFPs and business proposals to ensure compliance with LAZ protocols and guidelines.• Participates in legal due diligence for potential acquisitions.• Reviews and analyzes legal and regulatory developments and trends and determines potential impact and applicability as necessary.• Researches legal contractual issues and provides guidance to stakeholders.• Improves, develops, and manages company templates, and provides guidance to improve contract terms and negotiation outcomes.• Manages contracts database via a Contract Lifecycle Management program, and timely responds to internal clients on the status of a contract under negotiation.• Interacts with regions to address potential contract renewals and terminations, as well as other key terms and conditions that impact various contracts.• Willingness to take on a broad range of responsibilities.• Other duties as needed.Requirements:Travel:• Up to 10%, based on business needs.Education:• Juris Doctor Degree from an accredited law school.• Current member of a state bar, preferably Connecticut. Ability to receive admission to CT Bar if not already admitted.Experience:• At least 12 years of combined transactional experience at a law firm or as in-house counsel.• Experience independently drafting and negotiating a wide variety of agreements.• Experience in real estate law transactions and business acquisitions.Skills:• Ability to navigate the political reality of an organization.• Change management savvy and ability to drive strategies that change employee behavior/culture.• Ability to communicate professionally and effectively contractual issues and legal nuances with all levels of the organization.• Ability to encourage open expression of ideas and opinions.• Ability to influence results in a multi-site, multi-state environment.• Excellent interpersonal skills.• Ability to effectively manage up.• Ability to document policies, procedures and standard business practices.• Demonstrates a sense of urgency and timeliness.• Knowledge of Word, Power Point and General Microsoft Office Applications.Physical Demands:• Ability to lift, push and pull at least 10 pounds.The physical demands described here are representative of those that must be met by an employee to successfully perform the essential functions of this job.
